The case then moved to the Pakistan Telecommunication Authority (PTA) for telecom-sector review. PTCL later said it completed the acquisition on December 31, 2025. The separate plan to integrate Telenor Pakistan with Ufone was not completed as part of that acquisition closing.
What PTCL agreed to acquire
On December 14, 2023, PTCL signed an agreement to acquire 100% of Telenor Pakistan (Private) Limited and 100% of Orion Towers (Private) Limited. PTCL announced an enterprise value of PKR 108 billion on a cash-free, debt-free basis. Those terms describe an acquisition by PTCL; the later proposed integration of Telenor Pakistan with PTML, the company that operates Ufone 4G, is a distinct step. PTCL’s announcement of the agreement and its shareholder materials identify the transaction and target companies.
What CCP approved—and what it did not
The Competition Commission of Pakistan (CCP) reviewed the transaction under competition law, including through a Phase II review that began in May 2024 and hearings and stakeholder engagement during 2024. On October 1, 2025, CCP conditionally approved PTCL’s acquisition of Telenor Pakistan and Orion Towers. Its press-release archive records the decision.
A conditional clearance addresses competition concerns; it is not the same as unconditional permission to combine every operation, nor does it itself transfer ownership or complete a transaction. Competition review can consider whether a deal may concentrate market power, reduce consumer choice or weaken pressure on prices and service. The available public announcement confirms that the clearance was conditional, but does not set out every legally operative safeguard; the precise obligations should therefore be taken from the full CCP order, not inferred from the headline.

Why the decision went to PTA
CCP and PTA have different regulatory responsibilities. CCP considered the competition-law implications. PTA’s separate telecom-sector role covers matters such as licenses, spectrum, network operations and service-quality requirements. After CCP’s decision, the matter proceeded to PTA for sector-specific review; contemporary reporting said the regulator would examine service quality, spectrum, infrastructure and related issues. TechJuice’s October 2025 report described an expected review period of roughly four to six weeks. That was an expectation at the time, not a binding deadline or confirmation of the decision date.
In practical terms, PTA’s review concerned whether the ownership change could proceed under telecom rules and what conditions were needed to protect continued compliance. Relevant issues included license and ownership implications, spectrum use, network and infrastructure arrangements, service quality, and continuity for subscribers using SIMs, billing, recharges, support channels and number-portability services. The CCP handoff did not mean those matters had already been resolved.

How the transaction proceeded to closing
PTA approval was later reported by telecom-sector coverage, with December 6, 2025 given as the NOC date. That date is reported by Telecoms.com; it should be treated as secondary-source reporting rather than a date independently confirmed here from a published PTA order.
PTCL shareholders also authorized the acquisition at an extraordinary general meeting on November 20, 2025. The company’s poll results record 99.9989% of votes cast in favor of the resolution. PTCL’s poll results document that corporate approval. PTCL then announced that the acquisition formally completed on December 31, 2025, after required regulatory approvals. Telenor Pakistan and Orion Towers became wholly owned PTCL subsidiaries from that date. PTCL’s completion announcement provides the company’s account of closing.

Acquisition is not the same as the Ufone–Telenor merger
At closing, Telenor Pakistan remained a separate legal entity during the transition. PTCL described combining it with PTML/Ufone as a subsequent planned amalgamation subject to further regulatory approvals. Its February 2026 results announcement said Telenor Pakistan’s financial results were consolidated from January 1, 2026, while describing the Ufone–Telenor amalgamation as a later step. PTCL’s results announcement distinguishes the completed acquisition from the planned integration.
That distinction matters for customers: the acquisition date alone does not establish that Telenor subscribers were transferred to Ufone, that the Telenor brand ended, or that the two networks and their infrastructure were immediately combined. Each of those changes would need to be assessed from subsequent company notices and regulatory decisions.

What customers and market watchers should monitor
The combination could give PTCL’s mobile businesses greater scale and create opportunities to use infrastructure more efficiently. PTCL has cited objectives such as improved coverage, efficiency, competitiveness and digital access. Those are corporate aims, not proof that customers have already received better service, broader coverage or lower prices.
Consolidation also raises questions about competition and service continuity. Fewer independent operators can mean less competitive pressure on tariffs and promotions, while poorly planned site closures could affect coverage. Efficiency gains do not automatically become lower prices; they may instead be directed to investment, capacity or other costs. Claims at the time about potentially removing around 5,000 co-located towers were reported as a possibility, not a confirmed final plan or completed action. The relevant test is what regulators require and what happens to coverage and service in practice.

- Judge consumer benefits by measurable service quality, coverage, capacity and pricing—not by projected efficiencies or corporate objectives alone.
