Microsoft Left OpenAI’s Board; Apple Declined a Planned Seat. Did Antitrust Scrutiny Drive the Moves?

Microsoft gave up a non-voting observer role at OpenAI in July 2024, while Apple declined a planned role. Regulatory scrutiny formed part of the backdrop, but no public evidence shows regulators ordered either move.

Microsoft gave up its non-voting observer role on OpenAI’s board in July 2024. Apple, by contrast, did not take an observer role it was expected to receive. The moves came amid competition scrutiny in the United States, United Kingdom and European Union, but neither company publicly said regulators ordered the change. Microsoft cited improvements to OpenAI’s governance; regulatory pressure was reported as a likely factor, not a confirmed official motive.

What Microsoft and Apple actually did

Microsoft’s July 9, 2024 letter ended its OpenAI board-observer role effective immediately. It did not resign as a voting director: the role was non-voting, but it allowed Microsoft to attend board meetings and receive confidential information. Apple’s situation was different. It was reportedly expected to appoint an observer after announcing a ChatGPT partnership for Apple devices, but it did not proceed with that appointment. Calling both moves the surrender of existing board seats is inaccurate. Reuters reporting and Axios coverage describe the roles and decisions.

OpenAI said it would replace observer access with regular meetings for strategic partners, including Microsoft and Apple, as well as investors. That offered a channel for communication without formal access to board meetings. Contemporaneous reporting described the arrangement.

Why board access drew competition scrutiny

The concern was not just whether Microsoft or Apple held a formal seat. Microsoft had invested more than $10 billion in OpenAI—often reported at roughly $13 billion—and was also a major cloud provider and commercial partner. The relationship combined financing, computing infrastructure, technology collaboration and distribution. A board observer could add access to confidential strategic, financial, technical or operational information, even without a vote.

Competition authorities were asking whether such partnerships could give established technology firms influence over emerging AI markets without a conventional acquisition. Relevant questions included whether a cloud provider’s contracts or technical integration could make it harder for an AI developer to switch providers, whether rivals could obtain comparable access to computing resources, and whether sensitive information might advantage a partner that also competes in AI. The UK Competition and Markets Authority described the Microsoft–OpenAI arrangement as a close, multifaceted relationship involving investment, technology collaboration and cloud services. The CMA’s initial review focused on whether it could amount to material influence or control.

The FTC later outlined risks that large cloud–AI partnerships may affect access to computing resources, engineering talent and sensitive business information, as well as an AI company’s ability to switch providers. Its work covered Microsoft–OpenAI and other major partnerships; it was a market study, not a finding that Microsoft controlled OpenAI. Did regulators make the companies step back?

The established facts are that Microsoft relinquished its observer role, Apple did not take its expected role, and regulators were examining major technology-company partnerships with AI developers. The timing and contemporaneous reporting support the view that scrutiny was part of the context. But the available public record does not establish that a regulator ordered either company to act.

Microsoft’s stated explanation was governance-related: it said OpenAI’s reconstituted board had made significant progress and that the observer role was no longer necessary. That is distinct from the reported interpretation that the move could ease regulatory concerns. Treating “to avoid scrutiny” as a confirmed motive goes beyond what the companies publicly said. Reuters reported both the explanation and the regulatory context.

Giving up the observer role did not end Microsoft’s influence or partnership

A non-voting observer role can provide visibility and information without granting formal voting power. Removing it reduced one visible governance connection and formal boardroom access; it did not by itself resolve questions about influence arising from investment, contracts, cloud infrastructure, technical dependence or commercial distribution. Nor does board attendance alone prove legal control. The applicable tests differ: the UK inquiry, for example, considered material influence and de facto control under its merger rules.

Microsoft remained a major shareholder and commercial partner, and the companies continued to share information through stakeholder meetings. The CMA’s later account treated the observer-right withdrawal as one development within a continuing relationship. The CMA’s decision discusses that evolving relationship.

Apple’s choice was not equivalent in commercial or legal significance. Apple was an integration and distribution partner, not OpenAI’s principal financial backer, and its reported observer appointment was prospective. Not taking the role did not mean Apple abandoned its ChatGPT integration; it meant Apple did not add the planned formal boardroom access.

What regulators concluded—and what they did not

United Kingdom

The CMA closed its Microsoft–OpenAI merger inquiry on March 5, 2025, finding that the partnership in its then-current form did not qualify for investigation under the UK merger provisions. It said the relationship did not create a relevant merger situation and Microsoft had not changed from material influence to de facto control. That was a UK merger-control outcome, not a global declaration that every aspect of the partnership raised no competition concern. The CMA case page records the outcome.

United States

The FTC examined major AI partnerships and investments through its statutory market-study authority, including Microsoft–OpenAI. That broader analysis considered contractual and technical arrangements as well as ownership. A market study is not the same as a formal merger clearance or a finding that a particular company violated antitrust law. The FTC’s account explains its scope.

European Union

EU authorities examined whether Microsoft controlled OpenAI for merger-rule purposes, while also seeking views on possible exclusivity concerns. Contemporaneous reporting said the EU did not apply its merger rules to the partnership on the basis that Microsoft did not control OpenAI. That distinction should not be stretched into a finding that every competition issue was settled. Reuters’ account of the July 2024 developments provides the relevant context.

The partnership continued after the board change

Microsoft and OpenAI continued working together and later amended their agreement. In an April 27, 2026 announcement, Microsoft said it remained OpenAI’s primary cloud partner, held a license to OpenAI intellectual property through 2032, and remained a major shareholder. Those are terms Microsoft described in its announcement, not evidence that the July 2024 governance change ended the commercial relationship. Microsoft’s announcement describes the amended arrangement.

The episode illustrates the difference between governance access and economic influence. A company can relinquish a board observer role while retaining substantial financial, cloud and contractual ties. Regulators therefore assess the full relationship under the relevant jurisdiction’s rules; a boardroom change alone neither proves control nor settles broader competition questions.
