Why OpenAI said it needed a for-profit structure
OpenAI’s case was that frontier AI development requires capital on a scale that philanthropy and its existing capped-profit model might not reliably provide. Training and operating advanced systems requires substantial computing capacity, while competition for specialized researchers, engineers and executives can make talent expensive. OpenAI argued that conventional equity, with the possibility of uncapped returns, could make it easier to attract investors and retain employees.
The distinction matters: raising money through a profit-making company is not the same as making profit the organization’s stated purpose. OpenAI said a more investable business could support its mission by expanding the resources available to develop AI and, ultimately, to the nonprofit. Whether commercial scale actually serves that mission depends on who controls the company and how conflicts between safety, public benefit and growth are resolved. How OpenAI’s structure evolved
OpenAI began as a nonprofit in 2015. In 2019, it created a for-profit subsidiary to help scale research and deployment. Before the 2025 recapitalization, the nonprofit governed and controlled the commercial organization through a capped-profit structure: outside investors could participate, but their returns were limited relative to those in a conventional company. OpenAI later argued that this arrangement was not suited to the funding and talent needs of the next stage.

What the December 2024 proposal would have changed
OpenAI’s December 2024 proposal would have converted its existing commercial arm into a Delaware public-benefit corporation, or PBC, and placed operational control of the business there. The nonprofit’s control interest would have been converted into equity at a valuation determined with independent financial advice. The nonprofit would have continued separate charitable work, including in health, education and science, while the commercial company pursued its business. The plan also proposed ending the capped-profit framework. OpenAI’s announcement is available in an archived December 2024 PDF.
A PBC is still a for-profit corporation, not a nonprofit or charitable trust. Unlike a conventional corporation focused primarily on shareholder economic interests, a PBC has a stated public-benefit purpose and statutory obligations to consider specified interests. That status can put a public purpose into a company’s governance, but it does not by itself make the company a charity or guarantee that its public purpose will prevail in every decision.
Why critics saw a governance risk
Critics’ concern was not simply that OpenAI might earn profits. It was that the proposed separation could leave the nonprofit with a financial stake but less ability to influence how powerful technology was developed and deployed. Former employees, civil-society groups and other advocates urged California and Delaware officials to intervene. The Associated Press reported concerns about accountability if OpenAI developed systems more capable than humans while no longer being governed by the nonprofit.

- Financial dependence: If the nonprofit’s resources came to depend heavily on a private company’s success, its independence could be harder to maintain.
- Conflicting incentives: Pressure to satisfy investors or expand a business could conflict with safety, access, transparency or broad public benefit.
- Mission without enforcement: Critics feared that humanitarian language could remain in place even if the nonprofit lost practical authority over commercial decisions.
- Limits of PBC status: A PBC is not equivalent to a charity, and public-benefit obligations do not automatically restore nonprofit control.
These objections focused on a real governance trade-off: the capital and scale needed to build advanced AI can also make independent public-interest oversight more important. The AP’s account of the original dispute is at AP News.
What California and Delaware did
Both states had a role. Delaware is OpenAI’s incorporation jurisdiction; California is where the company is principally based and where its San Francisco headquarters is located. Delaware Attorney General Kathy Jennings began reviewing the proposed transaction in October 2024, retaining independent counsel and an independent financial adviser. California Attorney General Rob Bonta also investigated and negotiated conditions.
On October 28, 2025, the two offices said they would not oppose the revised recapitalization after negotiations. Delaware said its review focused on preserving the public-safety mission, maintaining nonprofit control and ensuring fair financial treatment and access to technology for the nonprofit. California described negotiated concessions concerning safety, charitable assets and the company’s continued presence in California. In short, the final outcome did not carry out the proposed transfer of operational control away from the nonprofit. It paired a commercial PBC with continued Foundation control. OpenAI’s account of the final arrangement is at OpenAI’s structure page.

OpenAI says the Foundation has special voting and governance rights, appoints every director of OpenAI Group and can replace directors. Its Safety and Security Committee continues to oversee safety and security practices across the organization. The Group’s stated mission is identical to the Foundation’s mission.

In those matters, the PBC’s directors must prioritize the mission rather than shareholder pecuniary interests. Not For Private Gain says the Foundation has approval rights and can require mitigation measures, including halting a model release. That analysis also says the Foundation must have access to information, intellectual property, models, research and employees needed to advance its charitable mission. The practical value of these safeguards will depend on how the rights are defined and exercised over time; public summaries do not settle every question about their scope.
What the money figures do—and do not—mean
OpenAI says the Foundation received a 26% equity stake valued at approximately $130 billion at closing. That is a valuation of equity, not $130 billion in cash ready for grants. The Foundation also received a warrant for additional equity if a specified valuation milestone is reached over 15 years. The value of both the stake and the warrant depends on future circumstances; the stake’s stated value should not be confused with money already distributed to charitable programs.
OpenAI says the Foundation will initially commit $25 billion across health and disease research and technical solutions for AI resilience. Its health work is to include open-source, responsibly built frontier health datasets and support for scientists; its resilience work is intended to reduce risks and help society withstand harmful or malicious uses of advanced AI. OpenAI also says the Foundation builds on its previously announced $50 million People-First AI Fund. What remains unresolved
Keeping nonprofit control addresses the central concern raised by the 2024 proposal, but formal authority is not the same as effective oversight. Not For Private Gain, an advocacy group, argues that the final deal is materially better than the original proposal while remaining weaker than the previous management-level nonprofit control. It also argues that mission primacy is clearest for safety and security, rather than every commercial decision.
- Independence and divided loyalties: How will the Foundation exercise its power to replace directors, especially if directors serve on both boards or the charity’s financial interests are tied to the company?
- Scope of the mission: How will oversight address questions about access, pricing, labor effects, lobbying and market strategy, not just model safety?
- Transparency and enforcement: What information will be made public about board decisions and financial flows, and what remedies are available if the terms are not followed?
- Equity and charitable capacity: How will the Foundation govern and use a large, potentially volatile or illiquid stake without becoming dependent on the business it oversees?
- Proof of public benefit: What reporting will show whether the promised humanitarian benefits materialize, rather than remaining commitments or mission statements?
The arrangement therefore changes the question from whether the nonprofit formally controls OpenAI to whether that control can remain independent, transparent and effective when commercial incentives and public-interest obligations collide.
