Microsoft completed its acquisition of Nuance Communications on March 4, 2022, 326 days after announcing the agreement on April 12, 2021. The announced $19.7 billion value included Nuance’s net debt; Microsoft later reported an $18.8 billion accounting purchase price. The deal gave Microsoft control of Nuance’s healthcare and enterprise AI business—not just voice-recognition technology.
What Microsoft agreed to buy
Microsoft announced an all-cash offer of $56 per Nuance share on April 12, 2021. The company said the transaction was worth $19.7 billion, including Nuance’s net debt, and represented an approximately 23% premium to Nuance’s closing share price on April 9. Microsoft initially expected the deal to close during calendar year 2021. Microsoft’s announcement and its Form 8-K set out the terms.
Nuance was more than a consumer speech-recognition company. Its capabilities included conversational AI, speech recognition, ambient intelligence, clinical documentation and workflow tools, and enterprise experience in sectors including healthcare, financial services, retail, and telecommunications. Healthcare was central to Microsoft’s stated rationale, but the acquisition also extended its broader portfolio of industry-specific cloud and AI services.
Why the deal took nearly 11 months
The interval between announcement and completion was about 10 months and 20 days. The transaction needed Nuance shareholder approval, regulatory clearances, and other customary closing conditions. Microsoft’s fiscal 2021 filing said shareholder approval had been obtained, while regulatory approvals were still outstanding; the initial calendar-year 2021 closing expectation was therefore missed. The filing does not describe a formal U.S. antitrust lawsuit or a major public remedy. Microsoft’s 2021 Form 10-K records the outstanding conditions, and the UK Competition and Markets Authority decision documents regulatory review.

Microsoft announced completion on March 4, 2022. “Finally final” refers to the legal closing of the acquisition: it does not mean the decision to buy Nuance was made then, nor that product integration, branding changes, or customer migrations were complete. Contemporary coverage reported a final regulatory hurdle shortly before the close; the key point established by Microsoft’s filings is that regulatory approvals remained a condition after shareholder approval.
What Microsoft said it wanted from the acquisition
Microsoft presented the combination as a way to join Nuance’s industry expertise and AI products with Microsoft’s cloud infrastructure, security, and industry-specific cloud services. In healthcare, the company pointed to clinical documentation and workflow technology as tools that could support clinicians and improve patient and staff experiences. Those were Microsoft’s strategic aims, not outcomes demonstrated simply by closing the transaction. Microsoft’s completion announcement describes its rationale.

That makes the deal’s significance primarily enterprise-focused. It should not be reduced to an upgrade for Cortana, Windows dictation, or consumer voice assistants. Nuance’s speech technology was part of a wider set of healthcare workflows and vertical-market AI capabilities that Microsoft intended to bring into its cloud business.
Why the deal is described as both $19.7 billion and $18.8 billion

Microsoft’s fiscal 2022 Form 10-K reported the $18.8 billion purchase price and said Nuance’s financial results were included in Microsoft’s consolidated statements from the March 4, 2022 acquisition date. The filing also identifies the completion date.

What changed when the acquisition closed
Nuance became part of Microsoft, and Mark Benjamin, Nuance’s CEO, remained associated with the business at closing, according to Microsoft’s announcement. The closing gave Microsoft ownership of Nuance’s technology and business, but it did not by itself establish that every product was renamed, discontinued, repriced, or moved to a new service. Those are separate product and integration questions, and the closing announcement does not settle them.
Microsoft’s later filing continues to identify March 4, 2022, as the acquisition date and $18.8 billion as the purchase price. Microsoft’s fiscal 2024 Form 10-K provides that later confirmation.
