What China’s regulator announced
The State Administration for Market Regulation (SAMR) said its preliminary investigation found that Nvidia violated China’s Anti-Monopoly Law and the conditions in SAMR’s 2020 decision approving Nvidia’s acquisition of Mellanox Technologies. The regulator then decided to conduct a further investigation. SAMR’s September 15, 2025 announcement does not detail the alleged conduct, evidence, or legal reasoning.
The distinction matters: a preliminary finding followed by further investigation does not establish what the final disposition will be. The cited announcement does not report a final penalty or adjudication, and the available sources here do not establish whether a later decision or remedy was issued.
Why the case concerns Nvidia’s Mellanox acquisition
SAMR conditionally approved Nvidia’s acquisition of Mellanox on April 16, 2020. In its merger review, the regulator said the transaction had or might have the effect of eliminating or restricting competition in global and Chinese markets for GPU accelerators, specialized network interconnect equipment, and high-speed Ethernet adapters. Those were the markets considered in the merger review; the 2025 notice does not specify which conduct or market effects underpin its preliminary finding.

Nvidia said in its April 16, 2020 announcement that it had received all necessary approvals to proceed with the acquisition, which it described as a $6.9 billion deal. The merger decision and the later investigation are related, but they are separate stages: the 2020 decision imposed conditions on approval, while the 2025 announcement reported a preliminary finding about compliance and ordered further investigation.
How Nvidia describes the issue
In an October 2025 filing with the U.S. Securities and Exchange Commission, Nvidia said the preliminary finding concerned its compliance with applicable U.S. export controls—which Nvidia said required it to offer degraded products in China—and the terms of China’s Mellanox acquisition approval. That is Nvidia’s account of the issue; SAMR’s brief public notice does not give the same explanation or spell out the evidence behind its finding.

Nvidia’s filing said that if regulators concluded the company had failed to fulfill the acquisition terms or violated Chinese law, it could face financial penalties, business restrictions, or orders affecting its networking business, products, and services. These were possible consequences disclosed by Nvidia, not measures the filing said had been imposed.
What Nvidia said in response
An unnamed Nvidia spokesperson told the Associated Press: “We comply with the law in all respects. We will continue to cooperate with all relevant government agencies as they evaluate the impact of export controls on competition in the commercial markets.” That is the company’s public response as reported by The Associated Press; it does not resolve the regulator’s investigation.
