Can You Legally Cancel a Purchase Order?

A purchase order may be withdrawn before acceptance, but canceling after a contract forms depends on its terms, governing law, and the facts.

Sometimes. Before a seller accepts a purchase order (PO), you may be able to withdraw it. After acceptance forms a contract, whether you can cancel without consequences depends on the PO’s terms, applicable law, and what each party has done. For U.S. sales of goods, the Uniform Commercial Code (UCC) offers a useful general framework—but it is not a universal rule for every state or transaction.

First, determine whether the PO became a contract

A PO can function as an offer to buy goods, but its title alone does not show whether a contract exists. A seller may accept through a signed acknowledgment, a prompt promise to ship, shipment, or other conduct that reasonably communicates acceptance. Under New York UCC § 2-206, an offer generally invites acceptance “in any manner and by any medium reasonable in the circumstances,” unless its language or circumstances clearly indicate otherwise. The statute also addresses orders for prompt or current shipment and acceptance by requested performance.

That New York provision illustrates the UCC framework; check the version enacted in the state whose law governs your order. The precise PO language and transaction circumstances matter, and a countersignature is not necessarily the only way a seller can accept.

What to do in each situation

Situation What to check Practical implication
The seller has not accepted Whether the seller has accepted by a reasonable response or conduct, and whether the offer can still be withdrawn under the governing law and any commitment to keep it open. You may be able to withdraw the offer, but do not assume that lack of a signed acknowledgment means there was no acceptance.
The seller has accepted and a contract formed Whether the contract or applicable law gives you a termination right, whether the seller breached, and whether work or shipment has begun. A unilateral change of mind may have contractual consequences. A request to cancel does not necessarily end the contract.

Acceptance rules alone do not settle every question about whether an offer remains revocable. If there is uncertainty, review the full agreement and governing law before treating a withdrawal as effective.

Read the complete agreement before sending notice

Review the PO together with any quotation, seller acknowledgment, master agreement, incorporated seller terms, and later modifications. Look for provisions addressing:

  • Governing law and how the seller may accept.
  • Cancellation rights, deadlines, required notice methods, and any stated charges.
  • Whether shipment, custom work, or other performance has already begun.

Those terms can change the practical answer. For example, Cornell University’s published institutional PO terms describe the PO as an offer to form a contract of sale and provide a particular remedy for supplier nonperformance involving unshipped merchandise or incomplete services. That is an example of one institution’s terms, not a rule that applies to every purchase order: Cornell University Procurement terms and conditions.

Know the difference between termination and cancellation

The UCC distinguishes ending a contract under an agreed or legal right from ending it because the other party breached. Cornell’s text of UCC § 2-106 defines termination as ending a contract under a power created by agreement or law, otherwise than for breach. It defines cancellation as ending a contract for the other party’s breach; unlike termination, cancellation preserves the cancelling party’s remedies for breach of the whole contract or any unperformed balance.

In plain terms, a buyer who simply changes their mind should not assume they can cancel a formed contract without liability. Whether a cancellation charge or other remedy applies depends on the contract and governing law; the available sources do not establish a universal fee or damages amount.

When the seller breaches, different remedies may apply

For a sale of goods governed by the UCC, UCC § 2-711 addresses buyer remedies when the seller fails to deliver or repudiates, or when the buyer rightfully rejects or justifiably revokes acceptance. In those circumstances, the buyer may be entitled to cancel and may also recover amounts paid or pursue specified remedies. Whether those conditions are met depends on the facts and the applicable state law.

If the problem is nonperformance, document what the seller failed to do and assess the issue as a potential breach—not merely as a change-of-mind cancellation.

Steps to take before you act

  1. Identify the transaction and governing law. Determine whether the PO is for goods, services, or a mix, and find its governing-law clause. UCC Article 2 is a framework for sales of goods; a service-only order may be governed by different law.
  2. Collect the relevant documents and messages. Keep the PO, quote, acknowledgment, referenced terms, order-portal messages, emails, and evidence of shipment or other performance.
  3. Check acceptance and cancellation terms. Look at what counts as acceptance, any express right to cancel or terminate, deadlines, charges, and the required notice method.
  4. Match your reason to the right process. If you have a contractual cancellation right, follow its conditions. If you believe the seller breached, document the facts and evaluate the remedies available under the governing law.
  5. Get legal review when the stakes warrant it. For a high-value or disputed order, a commercial contracts attorney can assess the documents and relevant state law.
