Brazil Potash announced on October 3, 2022, that it had signed three binding agreements with AMAGGI and its logistics subsidiary Hermasa for planned Phase One production at the Autazes potash project in Amazonas, Brazil. AMAGGI agreed to buy 500,000 tonnes a year under take-or-pay terms and market a further planned 1.9 million tonnes a year; Hermasa agreed to transport the planned 2.4 million tonnes of annual output. These are agreements for future production, not evidence that the mine has started operating or delivering potash.

How much potash will AMAGGI buy?
The stated purchase commitment is 500,000 tonnes per year, on a take-or-pay basis. Separately, AMAGGI agreed to market the planned remaining 1.9 million tonnes per year. These are different roles: the announcement specifies the 500,000-tonne quantity as a purchase commitment and describes the 1.9 million tonnes as production AMAGGI would market, not as an additional amount it agreed to buy.

The 2025 annual report describes AMAGGI’s distribution and marketing right as exclusive subject to exceptions, and states a 15-year term starting when commercial production begins. It also refers to exceptions and termination provisions, but the available filing description does not establish their full details.
Transport on the Madeira River
Hermasa’s barge agreement covers planned initial production of 2.4 million tonnes per year. The 2022 announcement described transport from a planned port near Urucurituba toward Porto Velho or other river destinations. This is a logistics agreement for projected mine output, not a record of cargo already moved.
How long do the agreements last, and how is the potash price set?
Brazil Potash’s 2022 announcement described the agreements as lasting 15 to 17 years, with a mutual option to extend. It said the potash sale price would reference the spot Brazil delivered price for granular muriate of potash (MOP), then account for inland freight savings and a discount. The later annual-report description gives a 15-year term from the start of commercial production for the marketing agreement. Because the sources describe the term differently and do not provide the full contracts, they do not establish that every agreement has an identical term or start date.
The announcement’s MOP benchmark is a pricing reference for fertilizer-grade potash delivered in Brazil; it does not disclose a fixed price in dollars per tonne. The price is therefore linked to a market benchmark and adjusted under the stated formula rather than quoted as a single guaranteed amount.

Have the Autazes agreements started producing deliveries?
The disclosed agreement terms concern future Autazes production. Brazil Potash announced on April 9, 2024, that Amazonas environmental agency IPAAM had granted the mine installation license, allowing construction to commence. A construction license is a permitting milestone; it does not establish that construction was completed, commercial production began, or deliveries started. The company’s 2025 annual report, filed in March 2026, still describes the AMAGGI marketing and Hermasa shipping arrangements as relating to future production.
Accordingly, the agreements should be read as contracted plans, not completed sales or shipments. The cited public descriptions do not establish whether the contracts were amended, terminated, or performed after the filing. Why AMAGGI and Hermasa?
The 2022 announcement said Brazil Potash selected AMAGGI because it uses potash in its farming operations and has a distribution and logistics network through Hermasa. That was the company’s stated rationale for the arrangement. The announcement also quoted AMAGGI shareholder Blairo Maggi describing a domestic potash source as important to food security; those statements express the parties’ views, not proof of the project’s future output or commercial performance.
Brazil Potash and AMAGGI both cited Brazil’s reliance on imported potash in company statements. Brazil Potash’s 2022 release attributed a 98% import figure to Blairo Maggi, and its 2024 release also stated that 98% of potash was imported. These are company-reported figures from those dates, not independently verified current trade statistics.
