Tenable completed its acquisition of industrial cybersecurity company Indegy on December 2, 2019. Tenable announced a cash price of $78 million, subject to customary purchase price adjustments. The deal was intended to extend Tenable’s IT vulnerability-management business into operational technology (OT) security; the strategic benefits described at the time were Tenable’s goals, not proof of later outcomes.
What Tenable paid for Indegy
Tenable’s December 2019 announcement put the purchase price at $78 million in cash, subject to customary adjustments. Its 2019 Form 10-K, filed in 2020, presents a separate purchase-accounting figure: $80.1 million in cash consideration, including $5.5 million of cash acquired and subject to agreement adjustments. The figures have different scopes and should not be treated as competing headline prices. Tenable’s announcement and its 2019 Form 10-K also establish that the transaction closed on December 2, 2019.
Why Tenable said it bought Indegy
Tenable described the acquisition as a way to bring its IT vulnerability-management business together with Indegy’s industrial cybersecurity expertise. Chairman and CEO Amit Yoran said the combination would deliver “the industry’s first unified, risk-based view of IT and OT security.” That “industry’s first” wording was Tenable’s characterization of its ambition, not an independently established market finding. Tenable’s announcement framed the intended value as helping organizations assess cyber risk across both conventional IT systems and industrial environments.

Indegy focused on operational technology: the connected systems and equipment used to monitor or control industrial processes. Tenable said Indegy brought capabilities that included:

- configuration management;
- threat detection; and
- deeper intelligence about industrial devices.
The acquisition announcement described Indegy’s assessment approach as combining active analysis with passive monitoring, and called it safe and non-intrusive. That is Tenable’s description of the approach; it should not be read as a blanket assurance that every active scan is appropriate for every industrial environment. OT operators must account for the sensitivity and operational requirements of the systems being assessed. Tenable’s announcement and its December 2019 Form 8-K describe the deal and the capabilities Tenable said it was acquiring.

On December 2, 2019, Tenable said the Indegy Industrial Cybersecurity Suite integration with Tenable.sc was available. It said integrations with cloud-based Tenable.io and Tenable Lumin were expected in the first half of 2020. Those are announcement-era availability and roadmap statements. The cited announcement does not establish the products’ current availability, names, or integration status.
