What Qualcomm proposed to buy
In October 2016, Qualcomm announced plans to acquire Dutch semiconductor company NXP. It was a corporate acquisition, not a product launch. Why China was the outstanding approval
On January 17, 2018, Qualcomm said the deal had received eight of the nine required regulatory approvals, with China’s approval still outstanding. Qualcomm also said it had accepted conditions in the European Union and South Korea, including commitments concerning certain NXP near-field communication (NFC) patents and interoperability. What happened before the deadline
April 18: withdrawal and refiling
Qualcomm said China’s Ministry of Commerce (MOFCOM) asked the companies to withdraw and refile their Chinese notice. The parties extended the purchase agreement’s end date from April 25 to July 25, 2018: Qualcomm’s April 18 announcement.

July 25: review still underway
At a July 25, 2018 press conference, Chinese Foreign Ministry spokesperson Geng Shuang was asked whether China would approve “the takeover by the US company Qualcomm of the Dutch company NXP.” He referred the questioner to the competent authority for specifics, then said the relevant Chinese department was reviewing the transaction under the Anti-Monopoly Law. His answer did not announce an approval or a formal rejection: Ministry of Foreign Affairs transcript of July 25, 2018.
July 26: Qualcomm terminates the deal
The day after the extended deadline, Qualcomm announced that it had terminated the acquisition and tender offer. It said it would pay NXP a $2 billion termination fee. Qualcomm described this as a payment under the purchase agreement, not as a regulatory penalty: Qualcomm’s July 26 termination announcement.

Did China formally ban the acquisition?
The cited public record does not establish that China issued a detailed formal prohibition. The Foreign Ministry transcript says the relevant department was still reviewing the deal under the Anti-Monopoly Law, while Qualcomm’s announcement establishes that the transaction ended after clearance had not arrived by the contractual deadline. A contemporaneous Caixin report characterized the transaction as stalled while awaiting Chinese approval, but that reporting does not prove the regulator’s private reasoning: Caixin’s July 26, 2018 report. SAMR later published an item whose title says Qualcomm gave up the acquisition; it does not provide a detailed explanation of the decision: SAMR’s retrospective item.

The transaction’s outcome is clear: the parties did not complete the acquisition, and Qualcomm terminated it after the deadline passed without Chinese clearance. The cited official statements do not establish why the review remained unresolved. Trade tensions have been offered as an interpretation of the outcome, but the cited official record does not prove that political tensions caused it. “China kills the deal” is therefore a shorthand for the practical result, not a documented finding that the government formally banned the merger for political reasons.
