AREVA agreed to sell its connector subsidiary, Framatome Connectors International (FCI), to Bain Capital in September 2005 and announced the sale’s completion on 3 November 2005. AREVA put the transaction’s enterprise value at €1.067 billion. The deal let the French energy group focus on its core energy business while transferring an industrial connector manufacturer to Bain Capital.
When did Bain Capital buy FCI from AREVA?
The agreement and the completed sale were separate milestones. AREVA said it signed the legal and financial agreement on 19 September 2005, following approval by its Supervisory Board. Its announcement followed on 20 September. The sale closed on 3 November 2005, after regulatory approvals and the French process described by AREVA.

How much was FCI worth in the deal?
AREVA reported an enterprise value of €1.067 billion for the 2005 transaction. Enterprise value is a measure of a business’s total value, rather than necessarily the cash paid to shareholders; the cited AREVA announcements do not provide a separate purchase-price breakdown.
AREVA’s closing announcement also described anticipated effects on its own finances. It expected the disposal to add more than €500 million to AREVA Group’s 2005 consolidated net income and to generate about €850 million in positive cash flow. Those were AREVA’s stated expectations at closing, not independently verified realized results in the cited material.

Why did AREVA sell FCI?
AREVA said the sale would allow it to concentrate resources on energy, its core business. In its 20 September 2005 announcement, the company said it had chosen Bain’s proposal through a competitive process, weighing financial, industrial and social considerations.
AREVA also described commitments associated with the selected proposal: continuity of social policies, keeping FCI’s headquarters in Versailles, and maintaining specified Communication Data Consumer industrial sites in Europe and industrial sites in France for at least three years. These were commitments stated in the 2005 sale announcement.

What did FCI make?
FCI designed and manufactured electrical interconnect systems—components that connect circuits and equipment—for several end markets. AREVA reported that FCI had revenue of €1.3 billion in 2004. The European Commission’s case description lists connector production and distribution for automotive, telecommunications, computers, household appliances and industrial electronics.
What approvals cleared the transaction?
In its 25 October 2005 decision, the European Commission identified Bain Capital Fund VIII-E, Bain Capital Fund VIII and Bain Capital VIII co-investment Fund as the Bain Fund Group acquiring control of all of FCI, then part of the Areva Group, through a share purchase. The Commission declared the concentration compatible with the common market and the EEA Agreement under its simplified procedure.

AREVA’s 3 November closing announcement separately said completion followed antitrust approval and a decree after a favorable recommendation from the French Commission des Participations et des Transferts.

FCI had further corporate developments after the 2005 acquisition. In May 2012, Delphi Automotive announced a binding offer for FCI’s Motorized Vehicles division and described FCI as owned by Bain Capital affiliates. That announcement concerned a division, not the 2005 sale of FCI by AREVA.

The cited announcements do not establish whether Delphi’s offer closed or provide FCI’s complete ownership history after 2012. They therefore do not establish who owns FCI today.
