ServiceNow President CJ Desai Resigns After Probe Into Hiring of Former Army CIO

ServiceNow said its board found a company-policy violation concerning a possible conflict tied to the hiring of former Army CIO Raj Iyer. Desai resigned, Iyer departed, and government inquiries remained unresolved in the company’s July 2024 disclosure.

ServiceNow President and Chief Operating Officer Chirantan “CJ” Desai resigned on July 24, 2024, after the company’s board said an investigation found that Desai and the former Army official he hired violated company policy concerning a possible conflict. ServiceNow also said the former official, Dr. Raj Iyer, had left the company. The board’s finding was an internal policy determination—not a finding that either person committed a crime or that a government contract was improperly awarded.

Who left ServiceNow, and how did the company describe the departures?

In a July 24, 2024 filing with the U.S. Securities and Exchange Commission, ServiceNow said Desai resigned from all company positions effective immediately under a mutual agreement. The company did not describe his departure as a termination. Desai cooperated with the internal investigation and said he did not intentionally violate company policy, according to the SEC filing.

The other departing employee was Dr. Raj Iyer, the former U.S. Army chief information officer. ServiceNow said he joined the company in March 2023 to lead its global public-sector efforts and confirmed that he had also departed. Washington Technology identified Iyer as the company’s public-sector head. ServiceNow’s filing did not call him a senior vice president, so that title should not be treated as the company’s official description.

What did the internal investigation find?

ServiceNow said its board, after an investigation assisted by outside counsel, determined that Desai and the employee he hired violated company policy regarding a possible conflict connected to the hiring. The public filing does not provide the full policy, the board’s detailed analysis, or a complete investigative report.

The distinction matters: this was the company’s finding about its own policy. The filing does not establish that the hiring violated federal law, that the contract was improperly awarded, or that either executive committed criminal misconduct.

How does the case relate to an Army contract?

ServiceNow said an internal complaint raised potential compliance issues involving the hiring of the former Army CIO and the procurement process for one of its government contracts. Separate reporting by Stars and Stripes linked the scrutiny to a $432 million, five-year Army enterprise agreement awarded to Carahsoft Technology Corporation in December 2022 for ServiceNow software licensing. The report described the agreement as consolidating existing licenses and acquiring new ones for the Army Enterprise Service Desk.

The publicly reported dates do not establish that Iyer’s later employment caused or influenced the contract award: the agreement was reportedly awarded in December 2022, while Iyer joined ServiceNow in March 2023. The available disclosures do not establish what role, if any, Iyer had in the procurement or whether he participated in related decisions while at the Army.

Which government inquiries did ServiceNow disclose?

ServiceNow said it notified the Department of Justice (DOJ), the Department of Defense Office of Inspector General, and the Army Suspension and Debarment Office. The company said the DOJ had begun its own investigation and requested documents, and that ServiceNow was cooperating. It also said it could not predict the inquiry’s timing, outcome, or potential effect. These agency contacts are distinct from the board’s internal review; the company’s policy finding is not a government determination.

What changed inside ServiceNow?

ServiceNow named longtime executive Chris Bedi interim Chief Product Officer, effective immediately, in its SEC filing. The company characterized the matter as an isolated incident and said it was strengthening hiring policies and procedures. That description is the company’s characterization; the public filing does not detail the changes or establish whether they addressed a broader control problem.

What remains unresolved?

The disclosures available at the time of the July 2024 announcement did not identify the specific procurement decisions under review, establish Iyer’s role in them, or report a final result from the federal inquiries. They also did not announce that the Army had suspended or debarred ServiceNow, that the contract had been rescinded, or that the government had found a law was broken. Those outcomes should not be inferred from the company’s internal policy finding or from the fact that agencies were notified.

For later company disclosures, ServiceNow’s SEC filings page is a primary-source place to check. The existence of a later filing would not itself establish the outcome of an agency inquiry; that conclusion requires an authoritative statement about the inquiry.
