Avago Files for IPO: The 2008–2009 Filing and Trading Timeline

Avago filed its IPO registration statement in August 2008; it became effective in August 2009, ahead of the final prospectus and expected AVGO trading date.

Avago Technologies first filed its IPO registration statement with the SEC on August 21, 2008. The registration statement became effective on August 5, 2009, and the company expected its ordinary shares to begin trading on Nasdaq as AVGO on August 6, 2009. Those dates mark different steps in the offering.

When did Avago file for its IPO?

Avago filed its original Form S-1 registration statement on August 21, 2008, according to the company’s August 2009 Form 8-K. The SEC filing history shows that the registration process continued through amendments; Amendment No. 6 was filed on August 3, 2009 (SEC Form S-1/A, accession 0001193125-09-162364).

What were the key IPO dates?

The final prospectus is available through the SEC’s Form 424(b)(4) filing index. The expected first trading date comes from Avago’s offering announcement. Thus, “Avago filed for an IPO” most precisely refers to the initial S-1 filing in August 2008—not the later effectiveness or prospectus dates.

What did Avago offer, and at what price?

Avago’s 2009 annual report says the public offering price was $15 per share. The offering registered 49,680,000 ordinary shares in total, split between shares issued by the company and shares sold by existing holders:

  • 21,500,000 newly issued ordinary shares.
  • 28,180,000 shares sold by existing shareholders, including 6,480,000 shares associated with the underwriters’ over-allotment option.

Because existing shareholders sold more shares than Avago newly issued, it is inaccurate to characterize every share in the offering as newly issued by the company. The share counts and price are reported in Avago’s 2009 annual report.

What was Avago’s IPO ticker?

Avago said its ordinary shares were expected to begin trading on the Nasdaq Global Select Market on August 6, 2009, under the symbol AVGO. That is the expected listing detail stated in the company’s contemporaneous announcement; it distinguishes the planned first trading date from the earlier S-1 filing and effectiveness milestones.

What the prospectus disclaimer meant

Avago’s preliminary prospectus stated: “Neither the Securities and Exchange Commission nor any state securities commission has approved or disapproved of these securities nor passed upon the accuracy or adequacy of the disclosures in the prospectus.” This was the issuer’s securities-law disclaimer, not an SEC endorsement of the offering or its disclosures.

In its offering announcement, Avago described itself as a designer, developer, and global supplier of analog semiconductor devices for communications, industrial, and consumer applications. That description reflects the company’s own characterization at the time of the IPO.
