Armis said it would use the capital for product innovation, go-to-market expansion, strategic acquisitions, and execution of a three-year plan. That plan included preparing for an initial public offering and targeting $1 billion in ARR. The IPO preparation and ARR figure were forward-looking intentions and a target, not a completed IPO or achieved revenue milestone.

How should the $6.1 billion valuation and $7.75 billion deal price be compared?
They are figures from different transactions at different dates. The $6.1 billion was the valuation Armis stated after a private funding round in November 2025. The approximately $7.75 billion was the cash consideration ServiceNow announced for its acquisition the following month and reported at completion in April 2026. The figures are not a like-for-like measurement of a simple valuation increase.
Armis CEO and co-founder Yevgeny Dibrov described the financing as “another defining moment in our journey to build a category-defining cybersecurity company.” The quote appeared in Armis’s November 5, 2025 announcement.
