AlphaTON Capital agreed to acquire a 60% controlling interest in GAMEE on March 19, 2026, and announced that the transaction closed on May 27, 2026. The March announcement described GAMEE as having 119 million registered users—not 119 million monthly or daily active users. At closing, the company reported 120 million registered users. AlphaTON Capital later used the name Alpha Compute in company materials.
What happened, and when did the deal close?
On March 19, 2026, AlphaTON Capital announced a definitive agreement to acquire a 60% controlling interest in GaMee Global and its operating subsidiaries from Animoca Brands. The announcement said the deal was expected to close within 30 days, subject to customary conditions. That was an expectation, not the completion date. Animoca Brands’ announcement reported the agreement.
On April 24, AlphaTON said closing was then expected in May after completion of the 2025 audit. The transaction was subsequently completed: the company announced the closing on May 27, 2026. Its later release identifies the purchaser as Alpha Compute, the name used in later company materials. The May 27 SEC-filed closing release confirms completion.
How much did AlphaTON pay for GAMEE?
The figures in the announcements describe different parts of the deal and should not be treated as interchangeable. The March SEC filing set out $3.5 million in upfront consideration: $1.5 million in cash and $2 million in company equity, valued at $1 per share. It also allowed for up to two additional earn-out payments tied to GaMee EBITDA. The first 12-month earn-out could reach $3.5 million if GaMee EBITDA equaled or exceeded $1.2 million. These are contingent payments, not guaranteed upfront cash. The March 19 SEC filing describes the agreement terms.

In its May 27 closing release, the company described total consideration of up to $11 million and an implied GAMEE valuation of $18 million. “Up to” reflects the contingent nature of part of the consideration; the $18 million implied valuation is not the same as the upfront amount paid. The closing release also described an additional GMEE acquisition and transfers of GMEE treasury assets, so the announced total should not be read as a simple cash purchase price for the 60% stake alone.
What does a 60% controlling interest mean?
The transaction gave AlphaTON a majority ownership position and control of the acquired group, GaMee Global and its operating subsidiaries. The reported 60% is the ownership interest acquired; it does not mean AlphaTON purchased 100% of GAMEE. The March SEC filing also records a separate five-year strategic alliance with Animoca Brands. That alliance concerns marketing, partnerships, and ecosystem development involving GMEE, TON, WAT, and Animoca portfolio companies; it is distinct from the share purchase.

What does GAMEE’s “119 million users” figure count?
AlphaTON Capital’s March 19 announcement reported 119 million registered users, more than 10 billion gameplay sessions, and more than 61 million Telegram users. These are company-reported platform-scale figures, not a measure of how many people were active in a given month or day. In the May 27 closing release, Alpha Compute reported 120 million registered users. That release separately reported 1.7 million monthly active users and 150,000 daily active users across platforms.

The company’s March announcement also estimated GAMEE’s 2025 revenue at $3.54 million and cited a 112% three-year compound annual growth rate. At closing, Alpha Compute reported $3.5 million in 2025 revenue and $926,000 in Q1 2026 revenue. These are issuer-reported figures; the cited releases do not establish an independent audit of the user metrics or the March revenue estimate.

Why were GMEE and the TON ecosystem part of the announcement?
The transaction was presented as part of AlphaTON’s effort to expand its Web3 gaming and ecosystem activities. The five-year alliance with Animoca Brands was a separate arrangement intended to support marketing, partnerships, and ecosystem development involving GMEE, TON, WAT, and Animoca’s portfolio companies. The closing announcement’s mention of additional GMEE and treasury-asset transfers is also separate from the 60% shareholding figure.
Statements from AlphaTON and GAMEE executives about the deal’s strategic significance express their companies’ views; they are not independent assessments of the acquisition’s financial performance or likely results.
