Why 3dfx Acquired GigaPixel in 2000

3dfx announced a GigaPixel acquisition in March 2000 to add graphics expertise and engineers and pursue embedded and consumer markets. The reported $186 million value was not independently reconciled as a final figure.

3dfx announced in late March 2000 that it would acquire GigaPixel to bring graphics technology and engineering talent in-house, speed product development and pursue opportunities in embedded and consumer-appliance markets. Contemporary coverage put the deal at about $186 million, but those reported terms are not a verified final valuation.

Why did 3dfx acquire GigaPixel?

3dfx was seeking to shorten time to market and reduce its reliance on outside design and manufacturing resources. Buying GigaPixel offered a way to add graphics expertise and engineers while extending 3dfx’s ambitions beyond its established PC graphics business.

EE Times reported that 3dfx planned to integrate about 40 GigaPixel engineers into its engineering team. It described the acquisition’s broader aim as expanding into embedded systems and consumer appliances, where graphics technology could be licensed for use in other companies’ products rather than sold only as part of 3dfx’s own chips.

That distinction mattered to 3dfx’s embedded strategy. Chief technical officer Scott Sellers said: “Among the things we learned…is that we can’t build chip-level products for each of our customers in the embedded space,” he said. “Instead, we’ll license the technology to these companies [like Broadcom]. We’re not going to compete with them head-on.” EE Times reported the remarks in its March 2000 coverage.

What did GigaPixel bring to 3dfx?

GigaPixel specialized in the design, development and licensing of 3D core technology, according to a contemporaneous MacRumors report. Its GP-1 graphics core used region-based rendering. EE Times described this approach as a way to accelerate graphics without requiring expensive high-bandwidth memory, potentially lowering an original equipment manufacturer’s bill of materials.

For 3dfx, that combination meant more than adding a particular graphics core: it offered technology that could support products designed for different customers and markets, along with a team that could develop it. MacRumors also relayed an objective discussed on a conference call: outperform Microsoft’s Xbox graphics six months before the console’s release. That was a reported aspiration, not evidence that 3dfx achieved the goal or a confirmed outcome of the acquisition.

What were the reported acquisition terms?

EE Times reported on March 27, 2000 that the transaction was valued at approximately $186 million. The same report said the consideration would be about 15.6 million 3dfx shares, equivalent to about $40 per share according to 3dfx executives. These are contemporaneous reported figures, not independently reconciled final transaction data.

A July 20, 2000 indemnity escrow agreement refers to the March 27 acquisition agreement and records that a portion of the merger consideration was held in 3dfx shares as escrow. That document supports the existence of an agreement and an escrow arrangement, but does not establish a definitive closing date or reconcile the final consideration. The available records here therefore do not settle the exact closing date or final value.

Was this the same as NVIDIA’s later 3dfx transaction?

No. The GigaPixel acquisition was 3dfx’s move to obtain technology and engineering capacity in 2000. Separately, NVIDIA’s SEC filing says it entered an agreement on December 15, 2000 to buy certain 3dfx graphics-chip assets; that transaction closed on April 18, 2001. The later asset purchase should not be treated as the GigaPixel deal or as proof of its final terms. NVIDIA’s filing describes the selected-asset transaction.
