Federal prosecutors allege that Nate marketed an AI-powered shopping app that could complete online purchases with one tap, but that its automation did not reliably do so and hundreds of contractors in the Philippines handled purchases manually. Those are allegations in an indictment, not proven findings: the U.S. Department of Justice said former Nate CEO Albert Saniger is presumed innocent unless and until proven guilty.
What Nate promised shoppers and investors
Nate was marketed as a universal shopping cart intended to make checkout on retail websites a one-tap process. According to the U.S. Department of Justice’s April 9, 2025 summary of the indictment, the app purported to use AI to select a product size, enter billing and shipping details, and confirm a purchase.
Prosecutors allege that Saniger also told investors Nate could transact online without human intervention, describing the system as fully automated except for certain “edge cases.” These were representations about the product, not proof that it could consistently perform those tasks.
What prosecutors allege happened behind the app
The DOJ says the indictment alleges Nate’s AI never became capable of consistently completing e-commerce purchases. Prosecutors characterize the app’s actual automation rate as effectively zero during the period when the company represented it as automated.

Instead, prosecutors allege, Nate relied heavily on overseas human workers. Hundreds of contractors described as “purchasing assistants” allegedly worked in a Philippines call center to complete transactions initiated through the app. The government’s account therefore distinguishes the checkout experience Nate advertised from the people and processes it says were doing much of the work.
The indictment summary also says Nate’s engineering team developed bots in fall 2021 to automate some transactions, and that the company used those bots alongside manual teams. That detail does not establish that Nate’s app could autonomously navigate checkout and complete purchases as represented; it means the allegation is not that no automation of any kind ever existed.

What the DOJ says investors were told
The DOJ alleges Saniger raised more than $40 million from multiple investors based in part on representations about Nate’s AI development and deployment. That figure and characterization come from the department’s April 9, 2025 release; they are allegations in the case, not a separate adjudicated finding.
Matthew Podolsky, Acting U.S. Attorney for the Southern District of New York at the time of the release, said: “As alleged, Albert Saniger misled investors by exploiting the promise and allure of AI technology to build a false narrative about innovation that never existed.” The qualification “As alleged” is central: the statement describes the government’s position.

Charges are not a conviction
On April 9, 2025, the U.S. Attorney’s Office for the Southern District of New York announced that Saniger had been charged with one count of securities fraud and one count of wire fraud. The DOJ release states that each count carries a maximum potential sentence of 20 years, but any sentence would be decided by a judge; the maximum is not an expected or imposed sentence.
The DOJ explicitly said the indictment is an accusation and that Saniger is presumed innocent unless and until proven guilty. Its release summarizes the charges and allegations; it does not establish a later court disposition. The available information here therefore does not establish what ultimately happened in court or whether Nate continued operating after the events described.

What this means for understanding Nate
The case, as described by prosecutors, is about the gap between a claim of autonomous AI-powered checkout and an operation allegedly dependent on human assistance, alongside some later use of bots. It is not an independent technical audit of Nate, nor does the indictment summary by itself prove the allegations. Readers evaluating the story should keep three things distinct: what the company was said to promise, what prosecutors allege the operation did, and what has been established in court.
