The deal was therefore widely reported at roughly $700 million, not officially priced at that amount. XM Cyber later became part of Schwarz Digits, and in July 2026 CrowdStrike agreed to buy XM Cyber’s intellectual property—not its customers or revenue.
What Schwarz Group bought in 2021
Schwarz Group, the German parent associated with Lidl and Kaufland, announced the acquisition of a majority stake in XM Cyber on November 22, 2021. The announcement described XM Cyber as an Israeli hybrid-cloud cybersecurity company and said it would continue operating under its own brand and support structure. It did not say that Schwarz had bought 100% of the company.
The price also needs attribution. TechCrunch reported a $700 million value. A later Focus Investment Banking transaction summary listed approximately $722.3 million. Schwarz’s official announcement did not disclose the purchase price, so neither reported figure should be presented as a confirmed official price.
What XM Cyber’s technology does
XM Cyber focuses on continuous exposure management: finding ways an attacker could move through an organization’s connected systems and prioritizing the exposures that could lead to a meaningful compromise. Its approach examines on-premises and multicloud environments from an attacker’s perspective, mapping attack paths rather than treating every vulnerability as equally urgent.

That is different from a conventional vulnerability scan that produces a list of software weaknesses. An attack-path view aims to show how weaknesses, permissions, configurations, and connections might combine into a route toward sensitive assets. Security teams can use that context to prioritize which exposures to fix first. XM Cyber describes its platform in terms of exposure insights, attack-path analysis, risk communication, and a digital-twin approach on its company overview. It is designed to help identify and prioritize exploitable paths; it is not a guarantee that attacks will be prevented.
Why a retail group wanted a cybersecurity company
Schwarz Group’s interest was tied to its own growing digital footprint, not simply a move into an unrelated industry. Its operations span retail, e-commerce, loyalty programs, logistics, payments, and internal technology. The group said XM Cyber could help protect its own systems as well as customers and partners. Its announcement specifically connected the technology to digital business models such as online shops, marketplaces, and loyalty programs.
The strategic logic had two sides: use the capability to strengthen security across a large operating ecosystem, and develop cybersecurity as a service that could be offered beyond the group. In that sense, the acquisition treated security as both a risk-management need and a potential digital-services business. Public announcements establish that ambition, but do not quantify resulting revenue, cost savings, customer retention, or profitability.
How XM Cyber became part of Schwarz Digits
In June 2022, Schwarz said it was rolling out XM Cyber’s cybersecurity offering more broadly in German and European markets. The announcement marked a move from buying the company to building a commercial offering around it.

In September 2023, Schwarz announced Schwarz Digits, its IT and digitalization division. Its portfolio included Schwarz IT, the STACKIT cloud business, XM Cyber, Lidl and Kaufland e-commerce, Schwarz Media, and digital agency mmmake. Schwarz described the division as a way to develop European offerings in areas including cloud computing, cybersecurity, and e-commerce. XM Cyber thus became one part of a broader digital-infrastructure strategy, rather than an isolated acquisition.
Partnerships broadened the offering
Schwarz Group and Google announced plans in November 2024 to integrate Google Cloud security capabilities with XM Cyber and distribute joint offerings through Google Cloud Marketplace. This was a partnership and planned integration, not a sale of XM Cyber to Google. The Schwarz–Google announcement described the intended relationship; it did not publish a combined product price or establish that all customers would receive the same package.

In September 2025, XM Cyber, Schwarz Digits, and SentinelOne announced a broader AI-supported security alliance involving continuous exposure management and security operations. The companies’ announcement presents the alliance as an effort to connect capabilities; it does not make the companies a single vendor or disclose financial results from the collaboration.

On July 16, 2026, CrowdStrike and Schwarz Digits announced a definitive agreement for CrowdStrike to acquire XM Cyber’s intellectual property, including more than 45 patents and proprietary source code. CrowdStrike said the transaction would not include XM Cyber’s revenue or customers. XM Cyber was to continue as a standalone business under an intellectual-property license, and the announcement described a path for existing customers toward CrowdStrike’s Falcon platform.

This is not the same as CrowdStrike buying the whole company. At the time of the announcement, closing was expected in the second half of CrowdStrike’s fiscal 2027, subject to approvals and customary closing conditions; it should not be described as completed on that basis.
