Evaluate a tokenized private-credit investment by tracing the legal claim from the token holder to the loans, then testing the borrowers, cash-flow waterfall, valuation, fees, exit terms, and technology dependencies. A token does not by itself prove that you own the loans, can redeem at a stated price, or can find a buyer. The governing documents—not the marketing language or blockchain entry—determine what rights you have.
1. Establish what you legally own
Start with the operative documents: the offering memorandum or prospectus, subscription agreement, token terms, fund and entity documents, and relevant loan, note, trust, custody, and servicing agreements. Identify who issues the token, who owes the holder, and what claim you would have if the issuer or an intermediary became insolvent. Determine which law governs and what a transfer of the token legally transfers.
Investor.gov describes three broad structures for tokenized securities. The differences matter because the token may represent a direct issuer-sponsored security, an indirect interest held through an intermediary, or exposure issued by a third party that is linked to another security. In the synthetic model, the token holder does not have a claim against the referenced security’s issuer. The SEC’s January 28, 2026 staff statement discusses these structures and the importance of valid transfer mechanics. It explicitly presents staff views, not a Commission-approved rule; it has no legal force or effect and does not itself create new obligations. Its description of tokenization as “the process of creating a digital representation of a tangible or intangible asset using DLT” is not a claim that a digital representation establishes ownership. Read the SEC staff statement.

Trace any intermediary between you and the borrower. A phrase such as “backed by loans” is not a substitute for identifying the asset, obligor, and enforceable claim in the documents.

2. Confirm who may invest and transfer the interest
For a U.S. offering, verify its registration or exemption status, investor eligibility requirements, transfer restrictions, and the regulatory status of the entities involved. The SEC staff statement discusses how tokenization models may engage existing securities laws and notes that third-party synthetic exposure may, in some circumstances, raise security-based-swap questions. It also describes limits on offers or sales to people who are not eligible contract participants unless applicable registration or exemption and trading conditions are met. The answer depends on the actual structure and facts; the U.S. sources do not establish a universal rule for every token or jurisdiction.
Ask which countries and investor categories the offering accepts, whether transfers require issuer approval or whitelisted wallets, and whether a token transfer is legally effective without separate paperwork or register updates. For a real transaction, have qualified counsel assess the current law that applies to the offer and your circumstances.
3. Test the loans and portfolio, not just the token
Private-credit returns still depend on borrowers repaying debt under the loan terms. First identify the strategy: for example, direct lending, asset-based lending, receivables, equipment finance, mezzanine debt, or distressed loans. Then assess the origination channel and underwriting standards, borrower eligibility, loan seniority, maturity, rate structure, covenants, borrower leverage, sponsor relationships, guarantees, and collateral and lien position where relevant.

For a pooled vehicle, look through the portfolio by borrower, sponsor, industry, geography, vintage, seniority, and collateral type. Review concentration limits and exceptions, and consider whether the portfolio overlaps with other investments you hold. The Bank for International Settlements (BIS) reports that individual private-credit funds’ loan portfolios remain concentrated in a handful of industries, even as the market serves a wider range of industries. This is a reason to inspect a particular portfolio, not evidence about its performance or risk. The BIS’s March 2025 article on the drivers of private credit also reported that private-credit funds’ assets under management had grown from about $0.2 billion in the early 2000s to more than $2,500 billion by its publication period. That historical market-scale figure is not a 2026 measurement or an estimate of any token’s value.
A SEC-hosted taxonomy document lists origination process, underwriting criteria, borrower eligibility, and concentration limits as possible disclosure characteristics for private-credit tokens. It is a taxonomy/checklist proposal, not a binding regulatory standard or evidence that an issuer follows it. See the SEC-hosted document.
4. Trace payments, losses, and servicing
Map the route from a borrower’s payment to your account. Identify the servicer and any backup servicer, collection account, cash manager, custodian, administrator, trustee or collateral agent, and the party responsible for reconciling records. Then determine who can direct workouts or enforcement if a loan goes bad.

Read the payment waterfall closely. Establish what is paid first, which fees and expenses come out of collections, whether reserves are retained, and how senior and junior interests share losses and distributions. Check how the documents define delinquency and default; what happens after a covenant breach; who can approve amendments or waivers; and how restructurings, recoveries, and enforcement proceeds are allocated. Ask whether side letters or bilateral amendments can change terms for some investors. The SEC-hosted taxonomy identifies servicing standards, default and workout procedures, fees, cash-flow priority, reserves, subordination, and amendments as disclosure areas to examine; it does not supply deal-specific answers.
5. Challenge the valuation and the stated yield
Find out whether loan values are based on recent transactions, third-party appraisals, models, or a combination. Review how often values are updated, who supplies and checks inputs, how conflicts are managed, what happens when a price is stale, and which events trigger an impairment or a restatement. Check the treatment of non-performing loans and whether valuations or distributions receive independent audit or review. The SEC-hosted taxonomy specifically calls for disclosure of valuation approach, update frequency, and impairment triggers.
A reported net asset value or token price is not automatically a price at which you can sell. Look for transaction evidence and distinguish estimated value from executable bids. Work out the yield after management, servicing, platform, custody, incentive, financing, and transaction fees where those apply. Check whether reported income includes payment-in-kind interest or other amounts not received in cash, and how leverage or credit losses affect distributions to the class you would hold. The cited materials do not establish any particular offering’s marks, cash yield, or payout quality, so those answers must come from its disclosures and records.

6. Separate technical transferability from liquidity
“Tradable” can refer to several different things. Check each one separately:
- On-chain transfer: Can the token move between wallets under the contract’s rules?
- Legal transfer: Does moving it transfer the legal interest, and are approvals, registration, or eligible-transferee conditions required?
- Redemption: Does the issuer promise to buy it back? If so, check windows, notice periods, limits, gates, fees, suspension rights, and the settlement asset.
- Secondary-market sale: Is there a functioning market with actual buyers? Look for trading history, volume, bid-ask spreads, market-maker arrangements, and prices relative to stated value.
Also check lockups, minimums, wallet whitelisting, settlement timing, and who can pause transfers or redemptions. BIS describes many private-credit funds as illiquid and closed-end, with capital commonly locked for a fund’s life; some vehicles offer more frequent redemption windows. Its March 2025 article describes five-to-eight-year fund life cycles as a typical observation, not a term that applies to every fund. BIS’s analysis and its separate discussion of retail vehicles and possible secondary markets do not establish reliable liquidity for a particular token. The BIS bulletin on retail investors in private credit notes that new market structures may generate price signals, while also warning that they could erode some benefits of private credit.

Identify the blockchain and token contract, who has administrator privileges, and whether anyone can upgrade or pause the contract or alter transfer restrictions. Check custody arrangements, cybersecurity controls, key recovery, incident procedures, and any oracle or price-feed dependencies. Establish how the issuer handles a lost, stolen, frozen, or misdirected token.

Ask what happens if the ledger is unavailable, the network forks, a smart contract is exploited, or a custodian fails. Could payments or transfers stop? Could the token ledger and legal register diverge, and who has authority to correct them? The SEC staff statement discusses the relationship between on-chain and off-chain records and legal transfers, but the cited sources do not quantify the likelihood of technology failures for a specific offering.
8. Compare alternatives on matched terms
If you are comparing offerings, use the same criteria for each. Do not treat tokenization as a substitute for matching the underlying strategy, borrower risk, duration, leverage, fees, and liquidity terms when comparing with a conventional fund or loan.
- Legal claim, obligor, recourse, and insolvency treatment
- Loan seniority, collateral, covenants, borrower and portfolio concentration
- Underwriting, servicing, workout control, and recovery process
- Gross and net yield, fees, leverage, and cash-flow priority
- Valuation method, update frequency, and reporting quality
- Redemption rights, transfer limits, and evidence of secondary-market depth
- Investor eligibility, custody, and technology dependencies
Tokenized and conventional interests can have different legal and operational structures, but the cited sources do not rank investments or show that tokenization improves a particular offering’s returns, credit quality, or exit prospects.
Before investing: a document-based decision check
Do not proceed on an unanswered material question. Ask the issuer for the relevant document or disclosure, and assess whether the answer is enforceable and independently verifiable rather than merely promotional.
- Can you explain in one sentence what legal asset or claim you will hold, and who owes you?
- Can you trace the loans, collections, fees, losses, and recoveries through the relevant entities and payment waterfall?
- Do the portfolio disclosures let you assess borrower quality, concentration, collateral, and servicing?
- Can you distinguish an estimated mark and stated yield from cash received and an executable sale price?
- Do you understand the actual redemption and transfer terms, including circumstances in which they may be suspended?
- Have you established what happens to your rights if the issuer, custodian, servicer, platform, or token contract fails?
The offering documents and applicable law determine the answers for a specific investment. If you cannot verify the claim, risks, or exit terms that matter to you, do not infer them from the token’s design or branding; seek qualified legal or financial advice before committing money.
