The distinction that often matters most: a multi-member LLC can default to partnership taxation for federal income-tax purposes without becoming a partnership under state law.

What the legal difference means
Partnership
A partnership generally exists when two or more people carry on a business or venture together and share profits or losses. Some partnerships may arise from the owners’ business relationship rather than from filing a document to create a separate entity. The exact rules depend on the state and the facts. The SBA’s business-structure guidance describes general partnerships as carrying unlimited personal liability, while noting that limited partnerships differ.
LLC
An LLC is formed under the law of a state, and its owners are members. The IRS says in Publication 541 (12/2025): “Unlike a partnership, none of the members of an LLC are personally liable for its debts.” That is a general description, not a guarantee against every business-related claim. State law and the circumstances matter, so an LLC should not be treated as automatic protection from all liability.
Limited partnerships and LLPs are different
A limited partnership and a limited liability partnership (LLP) are not interchangeable with a general partnership or an LLC. Their liability rules depend on their legal form and applicable state law. Check the rules in the state where the business is formed and operates before assuming that a particular partnership structure provides protection.

How federal tax treatment differs from legal form
Legal form and federal tax classification are separate questions. A multi-member LLC can remain an LLC under state law while being classified as a partnership for federal income-tax purposes. That is why “LLC taxed as a partnership” does not mean the LLC has become a state-law partnership.
Partnership tax reporting
A partnership generally files Form 1065, an annual information return. It generally passes income, deductions, gains, losses, credits, and other tax items through to its partners rather than paying federal income tax on those items at the partnership level. Each partner generally receives a Schedule K-1 showing their share and reports it on their own tax return. The partners’ individual tax results can differ based on their circumstances. Default classification for an LLC
According to the IRS’s LLC guidance, a domestic LLC with at least two members generally defaults to partnership classification for federal income-tax purposes unless it elects corporate treatment by filing Form 8832. A domestic LLC with one member generally defaults to disregarded-entity treatment unless it elects corporate treatment. Special rules can apply, including for certain spouses in community-property states.
Members of an LLC taxed as a partnership generally pay self-employment tax on their share of partnership earnings, according to the IRS. Choosing an LLC does not automatically reduce taxes, and the tax outcome depends on the owners’ facts and elections.

Formation and ongoing requirements depend on the state
An LLC is created under state law, so its formation filings and ongoing obligations depend on the state. Partnership requirements also vary by state and business type; do not assume that every partnership must make the same filing or that an LLC’s compliance steps are nationally uniform. The SBA recommends checking the rules where the business will operate and be formed in its guide to choosing a business structure.
Before deciding, identify the state where the business will be formed and where it will operate, then confirm the relevant formation, reporting, tax, and liability rules with that state’s official resources. For advice on your particular structure or tax filing, consult a qualified attorney or tax professional.

How to decide which structure fits
- Start with liability and risk. Compare the exposure associated with a general partnership against the protections and limits applicable to an LLC or a specialized partnership form under your state’s law.
- Consider ownership and governance. Decide how owners will share responsibilities, profits, and decision-making, and whether the arrangements you need fit the structure and state requirements.
- Compare formation and continuing compliance. Check the actual state requirements for each option rather than assuming one is always simpler or has no filings.
- Separate legal form from tax preference. If you want an LLC’s state-law form, it may still default to partnership treatment federally when it has multiple members. Review whether that classification fits the owners’ tax circumstances.
- Get advice for the facts. State, ownership, business risk, and tax circumstances can change the answer; a qualified legal or tax professional can evaluate those specifics.
