Netflix stock is held by public shareholders; no single owner is identified as controlling the company. Netflix’s 2026 proxy statement gives a useful but unevenly dated ownership snapshot: it lists Vanguard, BlackRock and FMR LLC among holders above 5%, while also disclosing that Vanguard reported 0.0% beneficial ownership after an internal reorganization. The figures need their filing dates and definitions to make sense.
Who owns Netflix stock?
Netflix, Inc. is publicly traded, so its common stock is held by public investors rather than one controlling owner. Those investors include individuals and institutions. A shareholder’s name in a beneficial-ownership filing does not always mean that person or firm holds every reported share directly or bears the full economic exposure.
Netflix’s 2026 proxy statement reports ownership figures as of April 6, 2026, but the institutional entries are based on filings from different earlier dates. The proxy itself also notes a later Vanguard filing that conflicts with its table. Treat the numbers below as figures reported in that proxy, not as a live ranking of Netflix shareholders.

All figures and date qualifications in the table come from Netflix’s 2026 proxy statement. Because the institutional entries use different historical source dates—and Vanguard’s later disclosure reports 0.0%—the table should not be read as a comparable, up-to-date institutional leaderboard. The Vanguard figure is especially unsuitable as a current holding.

Why beneficial ownership is not the same as direct ownership
Netflix says beneficial ownership is determined under SEC rules and generally includes people with voting or investment power over securities. The proxy explains that, except where noted and subject to applicable community-property laws, the listed people have sole voting and investment power over the shares attributed to them.
The calculation can also include securities a person may acquire soon. For relevant ownership percentages, Netflix counts certain currently exercisable options and shares issuable upon restricted stock unit vesting within 60 days. As a result, a reported beneficial-ownership total may not equal the number of shares someone holds outright today.

Institutional disclosures also require care: a manager’s reported beneficial ownership may relate to shares it holds or manages for clients, rather than an investment made entirely for its own account. Voting power and investment or dispositive power can differ. The proxy’s older Vanguard and BlackRock filing details distinguish those powers, and Vanguard’s later reorganization disclosure adds another reason not to interpret the old table entry as its current economic stake.
How many Netflix shares can vote?
For Netflix’s 2026 annual meeting, the company reported 4,210,798,528 common shares outstanding and entitled to vote on the April 6, 2026 record date. Each record holder was entitled to one vote for each share held on matters at that meeting. These are figures for that specific record date, not a real-time share count. How to check for newer ownership filings
- Open Netflix Investor Relations’ SEC Filings index.
- Look for later Schedule 13D or 13G amendments for significant beneficial owners, and Forms 3, 4 and 5 for insider ownership disclosures.
- Read each filing’s own “as of” date and definitions. A filing date is not necessarily the date the reported position was measured.
- For proxy and annual-report materials, use Netflix Investor Relations’ Annual Reports & Proxies page.
A later filing may change the picture, so an older proxy’s table should not be used to claim an exact current ownership breakdown.
