A Special Power of Attorney (SPA) can authorize someone to handle a defined Bureau of Internal Revenue (BIR) transaction for you. The document titled “SPA for BIR Transactions Template” is a third-party sample, not an official BIR form, and the available information does not establish that a BIR office will accept it for any particular service. Use it as a drafting reference, then follow the current checklist for the exact transaction you need to complete.
What the SPA for BIR Transactions sample contains
The Scribd-hosted sample authorizes an attorney-in-fact to transact, process, arrange, or settle tax payments and related fees, and to sign, execute, deliver, and receive documents connected with that stated purpose. It includes signature lines for the principal and attorney-in-fact, witness lines, and a notarial acknowledgment. Its execution block names Butuan City and its acknowledgment refers to a “Series of 2019.” Those are details of that sample; they do not establish current BIR requirements or that the form is valid for your transaction. An SPA appoints an attorney-in-fact to act for the principal only within the authority granted. Before using a broad template, identify the specific task—such as submitting or receiving documents or handling a named application—and make sure the written authority actually covers it.
Match the SPA to the BIR service
BIR requirements are service-specific. Two official examples show why a generic template should not be treated as a universal checklist.

The official invoice-printing checklist describes its requirement as a “Special Power of Attorney (SPA) executed by the taxpayer-applicant indicating specific transaction/s”. Check the applicable service page for its latest instructions and confirm transaction-specific questions with the responsible BIR office before signing or submitting documents.
Do not assume an individual’s requirements apply to an organization
Requirements for a corporate or other non-individual taxpayer may differ. BIR materials for some procedures specify board or written resolutions or a secretary’s certificate. How to adapt a template safely
- Find the exact service checklist. Start with the BIR service you need, not with a generic form. Confirm the checklist applies to your applicant type and circumstances.
- Name the parties clearly. Identify the principal and the proposed attorney-in-fact. For procedures such as EO 98 registration, include the representative’s name as the BIR checklist specifies.
- State the purpose and specific transaction. Describe what the representative may do, and avoid relying on broad wording such as “all matters” when the service requires a named transaction. BIR’s invoice-printing checklist expressly asks for the specific transaction; secondary legal commentary also recommends clear, task-specific drafting, but that advice is not itself a BIR rule. - Check supporting-document rules. Note the ID, original, certified-copy, and authentication requirements on the relevant service page. The invoice-printing and EO 98 examples have different instructions.
- Use the correct execution details. Do not carry over the sample’s Butuan City venue or its 2019 acknowledgment series as if they applied to your document. Complete execution and notarial details for the actual signing circumstances, and check any applicable requirements with the BIR office or a qualified Philippine lawyer.
- Keep the authority within the intended scope. Make sure the SPA does not grant powers the principal does not intend to delegate. Have a lawyer review it if the authority involves consequential acts or the correct wording is unclear.
Legal limits: an SPA is not unlimited authority
Article 1878 of Republic Act No. 386, the Civil Code of the Philippines, identifies acts for which a special power of attorney is necessary. These include compromise and specified transactions involving immovable property, gifts, and other acts of strict dominion. This is a legal reason to define delegated authority carefully; it does not mean that every routine BIR counter transaction necessarily requires a notarized SPA. The BIR checklists cited here establish requirements only for their named services. Republic Act No. 386, Article 1878.
