Why Pfizer Bought Seagen: The $43 Billion Deal, Explained

Pfizer completed its Seagen acquisition in December 2023 for an announced $43 billion enterprise value. Here’s what the deal terms mean and why Pfizer said it wanted Seagen.

Pfizer completed its acquisition of Seagen on December 14, 2023, making the biotech company a wholly owned Pfizer subsidiary. The announced deal was valued at $43 billion in enterprise value, with Seagen shareholders offered $229 in cash for each share.

Did Pfizer’s Seagen deal close?

Yes. Pfizer reported that the merger was completed on December 14, 2023. Seagen did not remain an independent public company; it became a wholly owned subsidiary of Pfizer. The transaction was announced in 2023, so descriptions of Pfizer as planning to acquire Seagen are outdated. Pfizer’s closing announcement confirmed the completion.

How much did Pfizer pay for Seagen?

The deal announcement put Seagen’s enterprise value at $43 billion and specified $229 in cash for each Seagen share. Those are related but different measures: enterprise value is the headline valuation for the business, while $229 was the cash consideration per share. Pfizer’s and Seagen’s 2023 announcement set out those terms. The announcement and Pfizer’s SEC-filed closing report document them.

Pfizer later reported different figures in its 2025 Form 10-K: $44.2 billion as the fair value of consideration transferred, or $43.4 billion net of cash acquired. These are purchase-accounting measures, not revised versions of the announced enterprise value. They use a different basis and should not be substituted for the $43 billion deal-announcement figure. Pfizer’s 2025 Form 10-K reports the accounting amounts.

Why did Pfizer buy Seagen?

Pfizer’s stated strategy was to combine Seagen’s antibody-drug conjugate (ADC) technology and oncology medicines with Pfizer’s scale, capabilities, and expertise. ADCs are cancer medicines designed to deliver a drug payload to cells using an antibody that targets a particular marker. Pfizer presented Seagen’s technology as a way to strengthen its oncology business; that rationale is the company’s strategic case, not evidence by itself of improved patient outcomes or commercial success.

At the deal’s completion, Pfizer said Seagen contributed four marketed medicines and that Pfizer’s oncology pipeline had doubled to 60 programs. Pfizer described those programs as spanning ADCs, small molecules, bispecifics, and other immunotherapies. These were Pfizer’s portfolio figures at closing, not a measure of later trial results or sales. Pfizer’s completion announcement listed the medicines and pipeline figures.

What happened with the FTC concerns?

Pfizer said it addressed concerns from the U.S. Federal Trade Commission by irrevocably donating to the American Association for Cancer Research (AACR) the U.S. royalty rights from sales of Bavencio (avelumab). That describes Pfizer’s stated response; it does not mean the FTC endorsed every aspect of the transaction. Pfizer’s closing announcement described the donation.

What the deal figures and rationale do—and do not—show

The $43 billion enterprise value and $229-per-share cash offer describe the announced transaction terms. The later $44.2 billion and $43.4 billion amounts reflect purchase accounting. Pfizer’s statements about ADC technology, medicines, and pipeline explain why it said the acquisition fit its strategy; they do not establish the deal’s eventual return on investment, realized revenue synergies, clinical impact, or the long-term performance of Seagen’s pipeline.
