How to Invest in Uganda’s Domestic Securities Market

Investing in Uganda’s domestic securities market starts with an authorized intermediary and an SCD account. Learn how share orders work, what documents may be requested, and which costs and taxes to verify.

You can invest in Uganda’s domestic securities market by opening a securities account through a licensed intermediary, completing its current identity checks, and placing an order for a specific security. For shares listed on the Uganda Securities Exchange (USE), the process runs through a broker and a Securities Central Depository (SCD) account; local share orders must be funded upfront, and execution depends on a matching seller. Government treasury bills and bonds and corporate bonds are other categories to investigate, but their availability and terms must be checked at the time you invest.

Choose what kind of security you want to research

A share is a unit of ownership in a company, as the USE investor FAQ explains. Debt securities work differently: you lend to an issuer on stated terms. The USE identifies government treasury bills, government treasury bonds and corporate bonds among the market’s instruments. These options do not have identical risks, cash flows, maturities or ease of resale.

Compare a particular security against the same questions before deciding:

  • Issuer and credit risk: who owes the money or operates the company, and what could affect its ability to meet obligations?
  • Income: whether returns are dividends, interest or uncertain price appreciation, and what is actually specified for the instrument.
  • Time horizon and maturity: when you may need your money and whether the security has a stated maturity date.
  • Price and exit: how its price could change and whether you can find a buyer if you want to sell before maturity.
  • Costs and tax: what intermediary and transaction charges apply and how your investor status affects tax.
  • Capacity for loss: whether a potential loss or delayed sale would disrupt your finances.

The USE’s bonds and treasury bills page includes dated examples, some of which have matured; it is not a live list of investments or a current yield source. Confirm available securities and terms with the USE, the Bank of Uganda where relevant, and a licensed intermediary.

Open an SCD account through an intermediary

The USE directs prospective share investors to a licensed stockbroker. Its depository guidance describes client securities accounts as opened through or registered with a Securities Central Depository Agent (SCDA). The listed types include brokers or dealers, investment advisers and custodian banks. The guidance says a client may hold accounts with more than one SCDA and may request a securities transfer between accounts through the relevant agents.

Before applying, ask your chosen intermediary to confirm its authorization, account-opening steps, accepted payment channels, service arrangements and full charges. The USE FAQ says opening an exchange account is free and carries no monthly or annual account charges; that statement does not mean that brokerage, trading, custody, transfers or statutory charges are free.

Documents and identity checks

The USE’s published KYC requirements notice, Members’ Notice No. 1/2018 dated 5 June 2018, describes requirements for local, East African and foreign individual applicants. It lists identification documents, three colored passport photographs, completed Form 1A, information about business activity or source of income, and a risk-appetite disclosure. Permitted identity documents differ by applicant category, and the notice says additional documents may be requested in specific cases.

Because that notice dates from 2018, treat it as published guidance rather than a guaranteed current checklist. Get the current, category-specific list from the intermediary before submitting an application.

Place and fund a share order

For a USE-listed share, the exchange describes a broker-mediated order process. The investor tells the broker which company’s shares they want; the broker provides details for its trust account used to hold investor money for exchange transactions. After the investor deposits funds, the broker posts a bid on the Automated Trading System (ATS) during trading hours. A trade is concluded when the bid matches a sell offer, after which the shares are credited to the investor’s SCD account.

  1. Choose a listed company and discuss the order with your broker. Ask about the security, price and applicable charges before committing funds.
  2. Obtain the broker’s designated trust-account instructions. Verify payment details directly with the broker through a trusted channel.
  3. Deposit the amount for the order. The USE says payment for local share orders is made upfront.
  4. Have the broker place the bid on the ATS. The order executes only if it matches an offer; it is not guaranteed to fill immediately or at a price you prefer.
  5. Check the SCD account for the credited shares. Confirm the completed transaction and retain the broker’s records.

To sell, the USE FAQ says to instruct the broker, complete a sell-order form and wait for a buyer’s bid to match the offer. Matching is necessary for execution, so the available guidance does not establish that a particular security can always be sold quickly or at a desired price.

Check tax registration and investment tax

A Tax Identification Number (TIN) is a tax-administration identifier. The Uganda Revenue Authority (URA) says a person likely to transact in tax-related business with it is required to apply, and its TIN application page sets out documentation for individuals, with separate requirements for non-citizens. The reviewed USE account guidance does not state that a TIN is a universal prerequisite for every SCD account, so confirm what applies to your circumstances with the intermediary and URA.

URA’s withholding-tax guidance, accessed 7 October 2026, reports these investment-related categories:

  • Listed-company dividends paid to a resident individual: 10% withholding tax.
  • Government-security interest, maturity of 10 years or more: 10% withholding tax.
  • Government-security interest, maturity not more than 10 years: 20% withholding tax.

URA says withholding taxes on non-residents generally operate as final taxes on Uganda-source income unless relief is available under a double-taxation agreement. Rates and application depend on residency, income type, instrument and current law. Verify your own treatment with URA or a qualified tax adviser; these categories are not individualized tax advice.

Verify current terms, costs and rules before investing

Prices, yields, auction calendars, fees and the securities available to buy can change. The USE’s market regulations index lists, among other materials, 2026 Trading Participant Rules, government securities OTC rules, 2025 fees and charges rules, and 2025 listing rules. Check the relevant current documents and notices rather than relying on old examples.

For the specific instrument you are considering, ask the intermediary to confirm its current price, any accrued interest, charges, settlement arrangements, maturity, and options for exiting before maturity. Also ask how applicable taxes are handled. Do not treat a coupon printed for a past issue as a current yield: coupon, market price and realized return are distinct, and the USE’s dated debt listings include matured instruments.

The USE’s published share-investor FAQ describes account-opening charges narrowly as free, with no monthly or annual account charge. Request an itemized schedule for the account and the transaction you plan to make, including brokerage, transaction, custody, transfer and statutory charges. The USE also publishes USE Listing Rules 2025 as amended; consult the actual rules and a qualified intermediary for eligibility or regulatory questions rather than inferring requirements from a search-result description.
