Before buying a superyacht, verify the vessel’s identity, ownership, recorded mortgages, tax and customs position, flag and class status, and condition—and make sure the purchase contract protects your right to investigate before funds are released. These are separate checks: a clean survey does not prove clear title, and a registry transcript may not reveal every claim against a vessel.
What does superyacht due diligence cover?
Due diligence is the set of checks you use to establish what you are buying, who can sell it, what obligations may follow it, whether it suits your intended use, and what its condition and likely near-term needs are. It combines documentary review, legal and tax advice, physical inspection, and contract protections.
The right scope depends on the particular vessel, its location and history, the buyer and ownership structure, the intended private or commercial use, and the relevant flag and jurisdictions. General checklists cannot establish the position of a particular yacht.
How should you check the vessel, owner, and seller’s authority?
Match the records to the yacht
Collect the yacht’s name and identifying particulars, including hull and official numbers where applicable. Compare them with the vessel itself and with original or official records. Request a current registry transcript directly from the relevant flag authority rather than relying only on a copy supplied by the seller.

Confirm who owns it and who can sign
Check the owner recorded on the register and confirm that the person signing the sale agreement has authority to bind that owner. If the seller is a company, establish the authority of its signatory and have counsel assess whether additional corporate records are needed.
A share purchase is different from buying the yacht’s assets: it may leave the buyer with the owning company and its liabilities. In that case, extend the review to the company’s history, tax position, contracts, disputes, and other obligations.
How do you check mortgages and other claims?
Search the relevant official records for registered mortgages and other recorded rights. If a mortgage exists, arrange for its discharge as part of closing, coordinated with payment so the agreed release and transfer happen in the intended order.
A registry transcript has limits. Some claims may not be registered yet could attach to the yacht under the applicable law. Ask maritime counsel which claims matter in the relevant jurisdictions, and seek evidence about payments and obligations involving crew, shipyards, marinas, and suppliers. A clear-looking register is not proof that every possible claim has been resolved.

What should the purchase agreement settle before you pay a deposit?
Have a lawyer experienced in yacht transactions review the contract before you commit funds. It should make the diligence period workable and explain what happens if inspections uncover defects or the seller’s statements prove inaccurate.
- Where the deposit will be held, who holds it, and the conditions for its return or release.
- Your rights to inspect the yacht and conduct a sea trial, plus the timetable for reviewing the results.
- How acceptance, withdrawal, identified defects, and inaccurate seller representations are handled.
- The delivery location and condition, included inventory, excluded items, and any obligations that must be settled before handover.
- How recorded mortgages will be discharged and which closing documents must be delivered before funds are released.
LexisNexis describes the MYBA sale form as predominant for European second-hand superyacht sales and notes its caveat-emptor approach. That description does not establish the current form’s full terms or how a clause will work under the governing law of a particular transaction. Have counsel review the actual agreement rather than assuming a familiar form provides a particular inspection or withdrawal right.
How do you verify flag, class, and regulatory status?
Identify the intended flag and confirm that the buyer and planned operation are eligible. Review the registration certificate, class certificate and status, survey schedule, open class conditions, safety and other statutory certificates, and any deletion or transfer requirements. Check what applies to the yacht’s intended private or commercial use; the requirements can differ.
The International Maritime Organization says each country sets its own registration laws and emphasizes the flag state’s responsibility to exercise jurisdiction and control. It also warns that fraudulent registration operations can use convincing websites. Verify registry records and communications through the relevant official administration, not merely through a website or document forwarded by a seller.

The Swiss Maritime Navigation Office illustrates why registry requirements must be checked for the specific flag: its published process calls for ownership evidence, seaworthiness information, proof of liability insurance, required certificates, and deletion or concurrent deletion from a prior registry. Those are Swiss requirements, not a universal checklist.
How do you establish VAT, customs, and import status?
Do not treat a listing’s “VAT paid” wording as proof. Ask a specialist adviser to identify the evidence needed for the particular yacht and buyer. The analysis can depend on the yacht’s current location and history, the buyer’s residence, intended cruising or charter pattern, and ownership structure.
Gather primary customs and tax documents supporting any claimed paid status or temporary admission, then determine what is required for importation or movement into the intended cruising area. Do not assume that another owner’s tax treatment applies to your purchase or planned use. Rules are jurisdiction-specific and can change, so confirm them with the relevant authorities and an adviser close to signing and closing.
What should an independent survey and sea trial examine?
Set a vessel-specific inspection scope
Use an independent surveyor and agree the survey and sea-trial scope during the contract process. The yacht’s construction material, machinery, service history, refits, and intended use should shape the inspection. The examples below, described in a 2026 SuperYachtReview checklist, are not a universal specification; the surveyor’s professional judgment and the vessel’s circumstances determine what is appropriate.

- Steel: Hull plating may warrant ultrasonic thickness testing.
- Aluminium: Inspection may focus on welds, galvanic corrosion, and impact damage.
- GRP: The surveyor may assess blistering, delamination, and repairs.
- Machinery and systems: Review service and engine-hour records; depending on the vessel, checks may include oil analysis, borescope inspection, shaft alignment, and operation of generators and other systems.
Use the sea trial to observe operation under load
A sea trial allows machinery and systems to be operated under load and observed in use. Agree in advance what will be tested and how the findings will be documented. The trial complements, rather than replaces, the survey and records review.
Compare findings with the maintenance history
Review maintenance logs, yard invoices, refit specifications, warranties, casualty and repair records, engine and generator running hours, and tender and equipment records alongside the survey. Gaps or inconsistencies can point to follow-up questions or inspection and may affect negotiations over the transaction.

Identify which arrangements continue with the yacht, end at closing, or need settlement. Review crew employment terms, management agreements, berth contracts, insurance arrangements, and charter commitments. Agree the delivery inventory, spares, equipment, warranties, delivery protocol, and acceptance documentation. The buyer’s planned use should inform arrangements for flag, insurance, crew, and chartering.
How should you compare two yachts or ownership structures?
Compare candidate vessels on the same evidence, not just on asking price or appearance. A side-by-side review can expose differences in title evidence, tax documentation, condition, records, and readiness for your intended use.

Depending on the transaction, the relevant independent professionals may include a marine surveyor, maritime sale-and-purchase counsel, and a specialist yacht tax or customs adviser. Insurance and yacht-management providers may be relevant when arranging operations and handover. Check each provider’s qualifications, geographic suitability, scope of work, and potential conflicts; no particular provider is endorsed here.
For a cross-border purchase, ask counsel to assess relevant sanctions and ownership-control restrictions using current official lists and the facts of the seller and owning entity. A general legal discussion cannot replace screening for the jurisdictions and parties involved.
