How Corporate Bitcoin Holdings Work: Treasury Strategy, Accounting, and Risk

Corporate Bitcoin treasuries involve more than buying and holding: companies must manage liquidity, financing, custody, accounting, tax, and the added risks of lending, trading, or pledging assets.

Companies that hold Bitcoin in their treasury are choosing how to manage a volatile, non-cash asset alongside the money they need to operate. A corporate Bitcoin policy therefore covers more than whether to buy: it sets the purpose and limits of holdings, how the company will fund them, whether it may lend or pledge Bitcoin, how assets are safeguarded, and how accounting and tax obligations are handled.

What a corporate Bitcoin treasury strategy covers

A treasury strategy is the company’s policy for holding, selling, lending, trading, or pledging Bitcoin. It should connect the desired exposure to operating liquidity, financing, custody, governance, accounting, and tax requirements. There is no single standard approach: one company’s disclosures illustrate its choices, not a template for all issuers.

These activities have different consequences. Holding Bitcoin as a reserve preserves exposure to its price but does not itself produce cash. Selling converts some exposure into cash. Lending, trading, or using Bitcoin as collateral may create cash flows or support borrowing, but each adds operational, counterparty, or financing considerations.

Funding Whether purchases use existing cash, equity issuance, debt, or a mix. Cash use, shareholder dilution, repayment obligations, and refinancing exposure differ by funding method.
Custody and control Who can authorize transactions, how access is recovered, and how ownership and records are reconciled. Operational safeguards must be weighed against access, concentration, and continuity risks.
Accounting, tax, and governance Applicable reporting and tax rules, allocation and counterparty limits, escalation triggers, and monitoring responsibility. Rules and reporting outcomes vary by jurisdiction and can change; governance must keep the policy workable.

How treasury strategies differ in practice

Holding Bitcoin as a reserve

A reserve strategy keeps Bitcoin on the balance sheet for exposure to its market value. The company still needs a separate plan for ordinary cash needs: Bitcoin does not automatically provide liquidity, and converting it to cash generally requires a sale or an additional activity that carries its own risks.

Lending, trading, and borrowing against holdings

These are distinct activities, not automatic extensions of simply holding a reserve. MARA Holdings’ FY2025 Form 10-K describes retaining most Bitcoin as treasury while also lending, trading, and borrowing against collateral. It reported that it spread holdings across custodial wallets to avoid relying on a single custodian. Its reported results show why additional activities should be assessed on their own merits, rather than treated as guaranteed yield.

These figures are outcomes reported by MARA, not typical returns or predictions for another company. Lending introduces exposure to borrowers and the terms under which assets can be recovered; trading can produce losses; and pledged holdings may not be freely available when the company needs them.

How U.S. GAAP accounting affects reported results

For crypto assets within the scope of FASB’s ASU 2023-08, U.S. GAAP requires subsequent measurement at fair value each reporting period and recognition of changes in net income, along with specified interim and annual disclosures. Strategy adopted the standard on January 1, 2025. It reported a $12.75 billion cumulative-effect increase to opening retained earnings at adoption. Because the standard does not permit retrospective restatement, Strategy says its post-adoption results are not directly comparable with earlier periods.

Fair-value accounting can make reported earnings move as Bitcoin’s price changes, even when the company has not sold its holdings. Strategy’s FY2025 Form 10-K states that unrealized gains in financial results do not mean cash was earned during that period, and that a rise in digital assets on the balance sheet does not by itself increase liquidity. Readers should therefore distinguish reported profit or asset value from cash available to pay expenses, service debt, or fund investment.

Risks a company needs to manage

Risk Why it matters
Market volatility Bitcoin’s value can change sharply, affecting the balance sheet and, under fair-value accounting, reported earnings.
Liquidity and cash flow Bitcoin pays no interest or dividends. A company may need to sell holdings or use another activity to generate cash, each with different consequences.
Concentration A balance sheet heavily weighted toward Bitcoin is less diversified and more exposed to a single asset’s price movements.
Financing and refinancing Equity-funded purchases can dilute shareholders; debt adds repayment obligations. A strategy that depends on continued access to financing may be difficult to execute if that access changes.
Collateral and counterparty Lending, trading, and borrowing can expose the company to counterparties, losses, collateral demands, or impaired access to assets.
Custody and key access Loss, theft, compromise, or unavailability of cryptographic keys can prevent access to or transfer of holdings.
Accounting comparability Fair-value changes affect income for in-scope assets under U.S. GAAP, while periods before and after adoption may not be directly comparable.
Tax treatment Taxable income and financial-reporting gains may not align, and tax rules can change.

Custody is a governance responsibility

Institutional custody is not solved simply by choosing a particular wallet. A treasury policy needs to establish who controls keys and transaction approvals, how access is recovered, how holdings are reconciled to company records, and how custody concentration is monitored. It should also address what happens if a custodian or key-management process becomes unavailable.

SEC Staff Accounting Bulletin No. 122 discusses safeguarding crypto-assets held for platform users, including key risk, concentration, and disclosure about who holds keys, records assets, and protects them. That guidance concerns customer assets safeguarded by platforms; it is useful as a prompt for treasury control questions, not a direct rule governing a company’s own Bitcoin holdings.

Tax rules require a separate check

Financial accounting does not determine taxable income. Strategy’s September 2025 filing described interim Treasury and IRS guidance concerning the corporate alternative minimum tax (CAMT) and unrealized digital-asset gains, and said it expected the guidance to apply to those gains. That is a dated account of interim guidance, not a statement of the rules that apply to every company today. The applicable regulations, jurisdiction, and company-specific tax facts need to be checked with qualified tax advisers.

A practical framework for evaluating a corporate Bitcoin policy

  1. Define the purpose. State what the company expects Bitcoin to do in its treasury and how that purpose relates to operating cash needs.
  2. Set exposure and sale limits. Document allocation boundaries, when holdings may be sold, and who can approve exceptions.
  3. Separate activities. Treat reserve holdings, lending, trading, and collateralized borrowing as different decisions with their own limits and monitoring.
  4. Specify funding and liquidity plans. Identify funding sources and how the company would meet cash obligations without assuming that balance-sheet gains are cash.
  5. Assign custody controls. Define authorization, key access, recovery, reconciliation, and oversight of custodian concentration.
  6. Review reporting and taxes. Confirm the applicable accounting framework, transition effects, disclosure requirements, and current tax treatment.
  7. Monitor and escalate. Assign responsibility for reviewing price exposure, counterparties, encumbrances, financing, and policy limits, with clear escalation triggers.
