CRH to Buy NCC Industry Operations in Denmark and Finland

CRH’s agreed purchase covers NCC Industry operations in Denmark and Finland. Heidelberg Materials is buying Sweden and Norway; the full divestment is valued at SEK 8.2 billion and remains subject to approvals.

CRH has agreed to buy NCC Industry operations in Denmark and Finland, but it is not acquiring the whole Nordic business. Heidelberg Materials is buying NCC’s operations in Sweden and Norway. NCC values the entire divestment at SEK 8.2 billion; its announcement does not disclose CRH’s separate purchase price. The deal is pending regulatory approvals, with completion expected in the second half of 2027.

Which operations are CRH and Heidelberg Materials buying?

NCC announced on 7 October 2026 that it had agreed to sell its entire Industry business area in a coordinated divestment split between two buyers. The country allocation is:

What does the SEK 8.2 billion valuation mean?

The SEK 8.2 billion figure is the enterprise value NCC announced for the full sale of Industry to both buyers. It is not the disclosed price for CRH’s Denmark and Finland operations. NCC’s announcement does not specify CRH’s separate consideration.

Heidelberg Materials separately put the enterprise value of its Sweden and Norway acquisition at approximately SEK 5.5 billion on a cash- and debt-free basis. That figure covers Heidelberg’s portion only. The two published values do not establish CRH’s price, so they should not be used to calculate it.

NCC also expects the transaction to generate approximately SEK 7 billion in positive cash flow for the company. That is a different measure from enterprise value. NCC says the cash purchase price will be settled at completion and that it will provide full details of the accounting impact when the transaction closes. NCC’s announcement and Heidelberg Materials’ announcement describe the respective figures.

What does NCC Industry do, and how large is it?

NCC describes Industry as a leading Nordic producer of stone materials and asphalt. NCC reported that the business area had sales of SEK 12.6 billion and operating profit of SEK 879 million in 2025. Those figures relate to the whole Industry business, not just the operations being acquired by CRH.

For scale, NCC reported 2025 group sales of SEK 56 billion and 11,500 employees. These are group-wide figures, not measures of the divested unit. NCC’s announcement provides the reported figures.

When is the sale expected to close?

The transaction remains subject to approval by relevant authorities; it has been agreed, not completed. NCC expects completion in the second half of 2027. Until closing, NCC says it will continue to recognize Industry earnings. Under the announced accounting treatment, the business will be reported as discontinued operations from the third quarter of 2026, subject to subsequent updates. NCC’s release gives the expected schedule and treatment.

Why is NCC selling Industry?

NCC says the divestment is intended to sharpen its focus on contracting, reduce capital intensity, release capital and strengthen financial flexibility. These are management’s stated aims, not a guarantee of future financial results. CEO Tomas Carlsson described the transaction as a step toward a more focused contracting company and said he was confident the operations would continue to develop with their new owners. NCC’s announcement includes his comments.

CRH International president Peter Buckley said the Denmark and Finland acquisition fits CRH’s strategy to build an aggregates-led portfolio and would strengthen its position in Nordic urban markets and infrastructure end-markets. Heidelberg Materials said its Sweden and Norway assets complement its existing regional footprint and position it to pursue infrastructure-related growth. These are the buyers’ stated rationales.
