What Could Make Nvidia Stock Fall? Key Risks Investors Should Understand

Nvidia’s latest quarterly filing describes how export restrictions, customer spending, infrastructure delays, product transitions and other pressures could affect sales or margins—without predicting an NVDA share-price decline.

Nvidia (NASDAQ: NVDA) shares could fall if export restrictions limit sales, major customers delay or reduce spending, data-center projects hit infrastructure or financing constraints, or product transitions leave the company with excess inventory and added costs. Competition, regulation and broader economic conditions can also weigh on demand, margins or market access. Those are business risks—not a forecast of a stock-price decline or its size. Nvidia’s fiscal Q2 2027 Form 10-Q, for the quarter ended July 26, 2026, describes several of these pressures as current conditions and others as possible future risks.

How to read Nvidia’s disclosed risks

Nvidia’s Form 10-Q identifies risks and reports certain recent effects, but it does not rank the risks by likelihood or predict what they will do to NVDA’s share price. A company can face operating risks without its stock necessarily falling: investors’ expectations and the price they are willing to pay for future earnings also matter. The filing does not quantify that valuation question.

The risks below affect different parts of the business. Some are already reflected in reported costs or restricted market access; others describe conditions that could delay or reduce future sales.

Export controls and China can restrict sales and add costs

U.S. export restrictions have affected Nvidia’s products, and the company says changing rules may limit sales across geographies. In its fiscal Q2 2027 filing, Nvidia said it was effectively foreclosed from China’s data-center compute market. Although the U.S. permitted some licensed H200 shipments, Chinese restrictions prevented the company from selling all licensed products. Nvidia said the allowed H200 shipments represented less than 1% of Data Center revenue in the most recent quarter described in the filing. This is not the same as saying Nvidia cannot sell anything in China: the filing says it could ship products not subject to those controls, including gaming and workstation GPUs. Restrictions can hurt through more than lost sales. They may make it harder to plan products and supply, increase compliance burdens, and give less-restricted competitors an advantage. Nvidia also warns that customers could respond by designing out U.S. semiconductors. Under the licensing program, H200 products shipped to China faced a 25% tariff that Nvidia said it could not pass on to customers, creating a potential cost or margin pressure.

The filing also records realized product-specific costs: Nvidia took a $0.4 billion charge for H200 excess inventory and purchase obligations in the first half of fiscal 2027. Separately, it reported a $4.5 billion H20-related charge in fiscal Q1 2026 after U.S. licensing requirements affected demand for those products. These past charges show how a policy change can disrupt a product and leave associated costs; they do not predict another charge or imply that future charges would be similar.

A small number of large buyers can influence demand

Nvidia says a significant amount of revenue comes from a limited number of indirect customers, with some individually representing 10% or more of revenue. The filing also says an AI research and deployment company contributed a meaningful amount of revenue by purchasing cloud services from Nvidia’s customers. Indirect sales make the demand picture harder to read: the direct buyer, the ultimate user and the location where a product is shipped may differ. If a small group of large cloud or systems buyers slows spending, defers orders or shifts some workloads to alternatives, Nvidia’s revenue growth could be affected. Direct-customer or geographic figures alone may not reveal the full source of end demand.

Data-center buildouts can take longer than AI demand suggests

Interest in AI does not automatically translate into an immediate order or deployment. Nvidia says customers may postpone purchases when data-center infrastructure is unavailable, capital is constrained, or adoption of a new architecture is slower than expected. A full buildout depends on land, power, a data-center shell and financing. Product transitions can turn supply commitments into inventory costs

New products and changing customer requirements create execution risk. If Nvidia or its suppliers commit to capacity or components before demand is clear, a product transition or a mismatch between supply and orders can leave excess or obsolete inventory, or purchase obligations that the company must account for. The H20 and H200 charges described above are examples tied to specific products and periods, not evidence that every product transition produces a charge.

For the quarter ended July 26, 2026, Nvidia reported gross margin of 75.0% and said net inventory provisions reduced gross margin by 0.8 percentage points. Those are results for that quarter, not a forecast or proof of a future margin trend. Further inventory provisions or other costs could pressure margins if demand, product mix or supply commitments diverge.

Competition, regulation and the economy can affect sales or costs

Competition and customer-built alternatives

Nvidia identifies competition from other suppliers and the possibility that customers develop internal solutions. Export restrictions may make alternatives not subject to the same U.S. rules more attractive. If buyers shift purchases to competitors or in-house products, Nvidia could face weaker demand or pressure to respond.

Regulatory and legal exposure

The company describes information requests from competition regulators and legal or regulatory exposure involving areas such as export controls, tariffs, antitrust, AI regulation, cybersecurity and product regulation. An information request is not a finding of wrongdoing. Changes in rules or their enforcement could nevertheless increase compliance costs, constrain products or affect access to markets.

Macroeconomic and supply-chain conditions

Nvidia says tariffs, inflation, interest-rate changes, capital-market volatility, supply-chain constraints and geopolitical developments may affect customer demand, costs, revenue and its competitive position. These factors can compound other risks—for example, tighter capital conditions may make it harder for customers to finance infrastructure, while trade restrictions can alter product availability and expense. The filing identifies possible channels, not a quantified impact on future results.

What investors can monitor in future filings

Rather than treating any single risk as a prediction, readers can compare what is already realized with what remains conditional, and track whether the pressure shows up in sales, margins, costs or market access. Later quarterly filings can update the picture through:

  • Export-license conditions, China sales and any further restrictions or tariffs.
  • Customer and indirect-customer disclosures, including signs of changes in buyer concentration or order timing.
  • Gross margin, inventory provisions and purchase obligations, particularly around product transitions.
  • Updates on customer infrastructure availability, capital constraints and the pace of architecture adoption.
  • Competition, regulatory developments and broader conditions that affect demand, costs or supply.

These indicators can show whether a disclosed exposure is becoming more material, but they cannot by themselves establish the probability or magnitude of a future share-price move.

Why business risks do not determine how far NVDA could fall

A weaker operating result or a new restriction can matter to the stock, but share prices also reflect what investors already expect and how they value future results. The company filing does not estimate a likely drawdown, identify which risk is most likely to trigger one, or measure how much of any risk is already reflected in the share price. A risk list is therefore useful for understanding possible pressure points, not for deriving a price target.
