The note is not company stock: it offers economic exposure under contractual terms, without giving holders rights to the company’s shares. Ondo said secondary trading was expected to begin during the announcement week; that was a launch schedule, not confirmation that trading is live.
What are investors actually buying?
They are buying a tokenized note that references a private company, not shares in that company. Ondo says the note’s value is calculated from the per-share value realized on the reference company’s common shares, subject to the note’s terms. The offering documents—not the general product description—govern the instrument.
As a result, holders do not receive underlying shares or shareholder rights. The first reference company was not named in Ondo’s October 5, 2026 announcement. Ondo’s product page says private companies do not have official tickers until listing, so there is no basis to infer a company identity or treat a note price as the company’s latest private valuation.
Can holders sell before an IPO?
Ondo says eligible investors may trade notes on Ondo Perps Spot Market and may hold them in their own wallets or transfer them to other eligible holders. Secondary trading is distinct from redemption: being able to place a trade does not ensure a buyer, a particular sale price, or continuous market access. Trading is subject to maintenance and risk controls, and the issuer may pause it.

Prices in a secondary market are set by buyers and sellers. Ondo says there is no public market price or consensus benchmark for the private company. A note’s spot price can therefore differ significantly from both the company’s latest private valuation and the note’s eventual payout. Liquidity may be limited and bid-ask spreads may be wide.
When can the note be redeemed?
Ondo identifies specific qualifying liquidity events in the product description. Ordinary funding rounds, employee tender offers, company liquidity programs, and ordinary secondary share sales are excluded. The Calculation Agent determines in good faith whether a qualifying event occurred, which type it was, and the relevant price.

- The reference company lists and trades for six months, including following an IPO, direct listing, or merger in which shareholders receive listed stock.
- Someone acquires majority control of the company.
- The company enters bankruptcy or insolvency proceedings.
- The company liquidates substantially all of its assets.
- Ten years pass without one of the other listed events.
The specific consequences and mechanics depend on the offering documents. A listing or other qualifying event is not the same as an immediate guaranteed payout at a publicly quoted price.
Can U.S. investors buy the notes?
No, according to Ondo’s product page and legal disclosure: the product is not available in the United States, and U.S. persons as well as people placing buy orders from within the United States are among those prohibited from subscribing, acquiring, or redeeming the tokens. Eligibility should be checked against the offering documents; broad launch language about worldwide access does not override those restrictions.

What else is important to know about the launch?
Ondo described the first note as exposure to an unnamed pre-IPO AI company and said it may add exposures in robotics, cybersecurity, biotech, infrastructure, defense, energy, and space. Those are stated potential areas, not a promise that specific notes will launch.
Ondo’s October 5, 2026 announcement cited two figures to explain interest in private markets. It said 87% of U.S. companies with more than $100 million in annual revenue are privately held, attributing that statistic to Apollo Academy without specifying the underlying statistic’s publication year. It also cited Cambridge Associates data showing 13.2% annualized net returns for U.S. private-equity funds versus 11.3% for an S&P 500 public-market equivalent over the 20 years ending December 2025. That historical comparison is specific to the stated period and measure; it is not a forecast, a guarantee, or evidence of the note’s expected return.

The announcement also reported $3.9 billion in total value locked and more than 1 million cumulative holders across Ondo’s broader infrastructure. These company-reported platform figures do not describe performance or adoption of the new notes.

- Issuer and contract risk: The note is a contractual claim governed by its offering documents, not ownership of the reference company. The exact initial terms are not reproduced in Ondo’s product overview.
- Valuation risk: Private-company pricing lacks a public-market benchmark, and the secondary note price can diverge from private valuations and eventual payout.
- Liquidity and access risk: A market may have limited buyers, wide spreads, maintenance downtime, risk controls, or issuer pauses. A planned trading start does not establish that trading is live.
- Event and timing risk: Redemption is tied to specified events, with event classification and price determined by the Calculation Agent. Ordinary private-share transactions do not qualify under Ondo’s listed events.
- Loss risk: Ondo says holders may lose their entire purchase price.
Review the full offering documents and verify eligibility, redemption mechanics, fees, and transfer restrictions before considering a transaction.
