The SEC’s quorum amendment took effect October 2, 2026. Three commissioners remain the normal quorum, but when fewer than three are in office, the members who are in office can form one. A separate, matter-specific provision allows one or two non-disqualified commissioners to form a quorum when other members cannot participate in that particular matter. Neither provision dictates crypto policy or gives one commissioner general authority to act alone.
What changed in the SEC quorum rule?
The final rule, Release No. 34-106537, amended 17 CFR 200.41 and became effective October 2, 2026. The revised text keeps three as the ordinary quorum, while spelling out two exceptions. SEC final-rule page · Published rule text

The amendment’s key distinction is between vacancies and disqualification. The fewer-than-three provision counts commissioners who are actually in office. The additional provision counts how many of those members remain eligible to consider a particular matter.
Can one SEC commissioner act alone?
Only in the narrow, matter-specific circumstance described by the rule: when disqualifications leave one commissioner eligible to consider that matter. It does not create a general one-member quorum for Commission business. The separate low-membership provision applies when fewer than three commissioners are in office; in that case, the number in office constitutes a quorum.

The rule states: “A quorum of the Commission shall consist of three members; provided, however, that if the number of Commissioners in office is less than three, a quorum shall consist of the number of members in office; and provided further that on any matter of business as to which the number of members in office, minus the number of members who either have disqualified themselves from consideration of such matter pursuant to § 200.60 or are otherwise disqualified from such consideration, is two or one, that number of members shall constitute a quorum for purposes of such matter.”
How does the reported two-member roster fit?
CryptoSlate reported on October 7, 2026, that Hester Peirce’s departure, effective October 2, left Paul Atkins and Mark Uyeda as the two commissioners. That is a dated report, not a permanent roster: membership can change. CryptoSlate’s October 7 report

If that reported roster is current, the fewer-than-three provision is the relevant part of the amendment for the Commission’s reduced membership: the commissioners in office can constitute a quorum. The matter-specific exception addresses a different issue—when commissioners in office are disqualified from a particular matter. The roster alone does not show whether a member is disqualified on any given matter.
What could this mean for crypto decisions?
The amendment changes the circumstances in which the Commission can have a quorum. In practical terms, it may allow the SEC to take up Commission business despite having fewer than three members in office, subject to the rules governing the matter. It does not itself select a crypto policy, determine the outcome of a proceeding, or change the substantive standards of securities law.

The SEC’s final rule explains that the Exchange Act does not set a quorum requirement for the Commission; the SEC establishes its procedural quorum rule in its regulations. So the amendment is about the Commission’s ability to conduct business, not an independent grant of authority over every issue.

The quorum amendment is separate from the SEC’s crypto-specific actions. Their legal status matters: a proposal is not an operative exemption, and an interpretive release is not the same thing as a proposed rule.
