Discovery on October 6, 2026, making WBD a wholly owned subsidiary. The $110 billion headline figure is the deal’s announced enterprise value—not the cash paid to WBD shareholders. The closing filing puts aggregate merger consideration at approximately $78 billion.
Did Paramount buy Warner Bros.?
Yes. Skydance Corporation completed the acquisition of Warner Bros. Discovery (WBD) on October 6, 2026, according to WBD’s SEC Form 8-K. WBD remains in existence as a wholly owned subsidiary of Skydance.

The deal was announced in February under the name Paramount Skydance Corporation. The post-closing company is now called Skydance Corporation; “Paramount” remains part of the deal’s announcement-era framing, but is not the current corporate name specified in the closing filing.
What does the $110 billion figure mean?
The $110 billion figure is the announced enterprise value of WBD in the merger agreement, not a measure of the amount distributed to shareholders at closing. The companies announced that valuation on February 27, 2026, in their merger announcement.

|---|---|---|
| $110 billion | Announced enterprise value of WBD in the February 2026 deal announcement | Paramount Skydance and WBD |
| Approximately $78 billion | Aggregate merger consideration reported in the October 2026 closing filing; funded through a combination of equity and debt financing | WBD’s SEC Form 8-K |
| $31.01666668 per outstanding WBD Series A common share | Per-share amount reported in the closing filing, including “Ticking Consideration”; it is not the enterprise value or total consideration | WBD’s SEC Form 8-K |
Enterprise value and merger consideration answer different questions. The first is the headline valuation attached to the announced transaction; the second is the aggregate consideration described in the filing at closing. They should not be treated as interchangeable measures of cash paid to shareholders.
How the deal reached closing
The transaction faced regulatory review and a multistate lawsuit. Those events are part of the chronology, but the record below does not establish that the UK clearance resolved the US lawsuit on its merits.

- February 27, 2026: Paramount Skydance and WBD announced a definitive merger agreement, describing WBD’s enterprise value as $110 billion.
- June 9, 2026: The UK Competition and Markets Authority launched a merger inquiry.
- July 13, 2026: New York Attorney General Letitia James and 11 other attorneys general sued, alleging the merger would reduce competition in film and television. The New York Attorney General’s office announced the lawsuit.
- July 24, 2026: The New York Attorney General’s office said the parties had agreed to delay the merger until after a court decision on the case’s merits or June 1, 2027, whichever came first. That was the reported position at the time, not the eventual outcome.
- August 6, 2026: The CMA cleared the anticipated acquisition; its inquiry page records closure on August 17.
- October 6, 2026: Skydance completed the acquisition, as documented in WBD’s SEC Form 8-K.
The documented closing supersedes the July report of a planned delay. The cited records establish the lawsuit, UK review and clearance, and eventual closing, but do not explain every legal step between the July agreement and completion.
What changes for streaming customers?
Paramount+, HBO Max, Discovery+ and other services now sit within the same corporate portfolio. That is a change in corporate ownership, not proof that customers can already access them through one product.

The Associated Press reported that the company plans to unify streaming products “into a single service over time.” The report did not establish the unified service’s name, launch date or price, or how the plan will affect consumer choice. Until those details are announced, subscribers should not assume that accounts, subscriptions, catalogs or bills have changed.
Skydance CEO David Ellison told AP, “Our viewpoint is, HBO should stay HBO.” That is his stated position on the HBO brand, not a guarantee of organizational independence or a specific future subscription experience.

What the deal’s reported commitments mean
AP reported settlement commitments covering theatrical releases and US production spending. These are commitments attributed to the settlement terms, not verified results already achieved.
- Distribute 30 films in theaters each year for the next two years, followed by 32 films each year for the subsequent three years.
- Increase US film-production spending by at least $1.5 billion over five years.
These targets give viewers and industry participants specific commitments to track, but the figures alone do not show whether the company will meet them or how many projects will be greenlit.

A broader combined catalog could eventually give viewers access to more programming under one corporate owner. Whether that becomes easier or cheaper for subscribers depends on product decisions that have not been established: the service configuration, pricing, catalog access and effect on existing subscription choices.
AP characterized the transaction as further studio consolidation and reported concerns about possible cost cutting, employment effects and changes to project greenlighting. Those are concerns about potential outcomes, not confirmed layoffs or established changes to creative decisions. The closing filing establishes who owns WBD; it does not by itself establish the merger’s realized effects on jobs, prices or production.
