Ford’s Rivian Stake Fell to 1.15% After a $7.4 Billion 2022 Investment Loss

TechCrunch reported Ford held 1.15% of Rivian in February 2023. Ford’s annual report put its 2022 Rivian investment loss at $7.4 billion, versus $7.3 billion in TechCrunch’s headline.

Ford had reduced its Rivian holding to 1.15%—10.5 million shares—by February 9, 2023, when TechCrunch reported the sale. The figures need two qualifications: that stake is a dated snapshot, not Ford’s current ownership, and TechCrunch’s headline cited a $7.3 billion write-down while Ford’s 2022 annual report stated a $7.4 billion loss on the investment.

What Ford’s Rivian stake was after the sale

TechCrunch reported on February 9, 2023, that Ford had sold most of its Rivian shares and retained 1.15%, or 10.5 million shares. The percentage and share count describe Ford’s reported position at that time; they do not establish how many Rivian shares Ford owns today. TechCrunch’s February 2023 report attributed the remaining stake figure to regulatory filings.

Why the write-down is reported as $7.3 billion or $7.4 billion

The two figures come from different sources. TechCrunch used $7.3 billion in its headline. Ford’s 2022 annual report on Form 10-K reported a $7.4 billion loss on its Rivian investment for fiscal 2022. The annual-report figure is the amount Ford reported in its filing; the headline figure should not be substituted for it. Ford’s 2022 annual report contains the company’s figure.

The February 2023 report described a longer reduction in Ford’s ownership, rather than a single isolated sale:

TechCrunch said Ford’s holding had been declining since May 2022. Its report does not establish the exact dates, prices, or proceeds for each sale described in February 2023.

A reported investment loss is not the same as sale proceeds

A mark-to-market or investment loss reflects a change in the reported value of an investment; it is not, by itself, cash received from selling shares. Ford’s $7.4 billion annual-report loss and the proceeds from any share sales are separate financial measures. The cited reporting does not establish that the write-down itself was cash Ford received.
