Honda and Nissan did not merge. They announced an agreement to consider a business integration in December 2024, then terminated that agreement and ended the integration discussions on February 13, 2025. The companies said they would continue collaborating on intelligent and electrified vehicles through a strategic partnership.
What Honda and Nissan announced—and what they did not
On December 23, 2024, Honda and Nissan signed a memorandum of understanding (MOU) to consider integrating their businesses. The MOU was not a completed merger agreement: the companies said their review had just begun and that they had not decided to integrate. Their initial structure under consideration was a joint holding company, potentially established through a joint share transfer. Honda and Nissan’s December 23 announcement described a proposed path for further examination, not a confirmed transaction.
On February 13, 2025, the companies announced that they had agreed to terminate the MOU and cease integration discussions. No merger followed from that proposal. Their joint termination statement said they would continue collaborating under a strategic-partnership framework.
How the proposed structure changed
The December plan contemplated a joint holding company. In that arrangement, the companies would have considered combining under a new parent structure; the announcement also said Honda would appoint most directors and the CEO of the proposed holding company.

During the discussions, Honda proposed a different structure: Honda would become the parent company and Nissan its subsidiary, through a share exchange. The joint statement reports Honda’s proposal but does not provide a complete account of each company’s negotiating positions or board deliberations.

Why the electric-car transition figured in the talks
The companies framed the proposed integration around a changing automotive market and the shift toward electrification. In December, they said their product offerings could complement one another across internal-combustion, hybrid, plug-in-hybrid, and electric vehicles. They also cited joint research into fundamental technologies for next-generation software-defined-vehicle platforms, following an earlier strategic-partnership agreement focused on vehicle intelligence and electrification.

When they ended the integration talks, Honda and Nissan said they wanted to prioritize speed of decision-making and execution in a volatile market environment as the industry entered the era of electrification. That is the companies’ stated rationale; their announcements do not establish that EV competition alone caused the talks to end or provide a full comparison of the two automakers’ positions in global electric-vehicle markets.
What happened to Mitsubishi Motors’ involvement
Mitsubishi Motors was not part of a completed Honda–Nissan merger. On December 23, 2024, Mitsubishi joined Honda and Nissan in signing a separate MOU to consider a tripartite collaboration structure and Mitsubishi’s possible involvement in the contemplated integration. After Honda and Nissan ended their discussions, the three companies terminated that MOU on February 13, 2025. They said they would continue collaborating through a strategic partnership focused on intelligent and electrified vehicles. The three-company announcement records the termination.

Their continued strategic partnership is not the same as a merger, and the announcements do not establish that the companies will combine ownership or operations later.
