What did ANADIGICS acquire?
Fairchild was exiting its RF Group business in Tyngsboro, Massachusetts. ANADIGICS acquired selected assets and certain related obligations, while 23 members of the RF group staff accepted employment with ANADIGICS, according to the company’s 2007 Form 10-K.
The acquired assets were principally equipment used to research and develop radio-frequency integrated circuits (RFICs) for broadband wireless communications. The filing also identifies fixed assets, non-exclusive rights to certain intellectual property, and an assembled workforce. It explicitly says that no products or manufacturing processes were included.

That distinction matters: this was principally a talent and selected-asset acquisition, not the purchase of a ready-made product portfolio or production operation.

How much did ANADIGICS pay?
ANADIGICS’s September 5, 2007 announcement described the acquisition value as $2.3 million. Its 2007 Form 10-K, filed in 2008, recorded $2.415 million in cash paid, including $115,000 in transaction costs. These are figures from different company disclosures: the later accounting amount includes the stated costs.
The Form 10-K also allocated the purchase price among acquired assets. It estimated fixed assets at a fair market value of $1.723 million, valued non-exclusive intellectual property rights at approximately $168,000, and assigned $524,000 to assembled workforce. These are accounting allocations, not separately negotiated prices for those items.

Why did ANADIGICS acquire the team?
ANADIGICS said the additional RF expertise would accelerate development of active semiconductor devices for 3G cellular, WiFi, and WiMAX. President and CEO Bami Bastani described specialized RF expertise as scarce and important to the company’s markets. Those statements explain management’s rationale at the time; they are not evidence that the transaction later produced particular commercial results.
CFO Tom Shields said the purchase would increase anticipated research and development expenses in the fourth quarter of 2007. He added that customer-demand forecasts and fourth-quarter momentum for ANADIGICS products were expected to partially offset those incremental expenses. That was a forecast made at announcement, not a reported outcome.

What is known about the acquisition’s later results?
The available company disclosures establish what ANADIGICS bought, the cash cost it later recorded, and the number of employees who joined. They do not establish attributable revenue, market share, product launches, or return on investment for the Fairchild team acquisition. ANADIGICS’s later product categories therefore cannot, on this evidence, be credited to the 2007 transaction.
For corporate-history context, II-VI announced that a wholly owned subsidiary had completed its acquisition of ANADIGICS on March 15, 2016. That later corporate transaction does not identify what happened to the Fairchild RF assets or measure their performance.
