TSMC’s Buyout of Acer’s Fab: The 1999–2000 Deal Explained

TSMC’s move into Acer’s semiconductor fab was staged: a 30% stake purchase in 1999, management of the facility, then an announced absorption merger.

TSMC did not buy all of Acer Semiconductor Manufacturing in one step. In June 1999, it announced a purchase of a 30% stake in the company, later renamed TSMC-Acer Manufacturing Corporation (TASMC). TSMC subsequently took over management of the facility, then announced an absorption merger in December 1999, with itself as the surviving company and June 30, 2000 as the target consolidation date. The sequence matters: the initial stake purchase and the later merger were distinct transactions.

What did TSMC buy from Acer in 1999?

On June 8, 1999, TSMC announced that it would purchase 30% of Acer Semiconductor Manufacturing, Inc. (ASMI) from Acer for a proposed NT$5.47 billion, or NT$9.5 per share. The companies described the arrangement as a way to expand cooperation in manufacturing technology, provide capacity support, and coordinate management. Acer was not described as giving up all access to the factory. Acer Group Chairman and CEO Stan Shih said the group would “reserve a portion of ASMI’s manufacturing capacity for its own use.” That was part of the announced arrangement; it should not be confused with a claim that Acer retained ownership of the facility after the later merger.

How did the deal progress from investment to merger?

June 1999: TSMC takes a stake and management role

TSMC’s later account says ASMI was renamed TSMC-Acer Manufacturing Corporation (TASMC) and that TSMC effectively took over management of the manufacturing facility from June 1999, shifting it toward a dedicated foundry operation. December 1999: absorption merger announced

On December 30, 1999, TSMC and TASMC announced that their boards had approved an absorption merger. TSMC was to survive the merger, and June 30, 2000 was the stated target date for consolidation. The announcement specified an exchange ratio of six TASMC shares for one TSMC share, subject to limited adjustment based on TSMC’s share price and stock dividends. Those are the announced terms; the announcement alone does not establish the final settlement mechanics.

TSMC Chairman Morris Chang said the merger was expected to “further improve operational efficiency through integration, enabling more timely service to our customers.” This was the company’s stated rationale and anticipated benefit, rather than an independently measured result.

What did regulators say about competition?

Taiwan’s Fair Trade Commission reviewed a broader combination involving TSMC, TASMC, and Worldwide Semiconductor Manufacturing Corporation (WSMC), not just the Acer facility in isolation. The FTC noted potential restrictions on competition in Taiwan’s foundry market. Citing an estimate by the Ministry of Economic Affairs’ Industrial Development Bureau, it said TSMC’s domestic foundry-market share would rise from 53% to over 60%. That was a historical estimate for the domestic market in the 2000 case, not a current market-share figure.

The FTC nevertheless approved the combination under Article 12 of Taiwan’s Fair Trade Law, concluding that overall economic benefits outweighed the drawbacks to the local market. Why does “TSMC buys out Acer fab” need qualification?

The shorthand makes the transaction sound like a single purchase of a whole factory. The documented sequence was more specific:

  • Equity: TSMC announced a purchase of 30% of ASMI shares from Acer in June 1999.
  • Operations: TSMC says it effectively took over management of the facility from June and redirected it toward foundry manufacturing.
  • Merger: The companies announced the absorption of TASMC into TSMC in December, with TSMC surviving and June 30, 2000 as the target date.
  • Competition review: The regulator’s review covered the wider TSMC–TASMC–WSMC combination and weighed market concerns against expected economic benefits.
