Rivian’s $250 million settlement of an investor lawsuit over alleged R1 vehicle pricing disclosures received final approval in May 2026, and judgment was entered that month. The claim deadline was April 20, 2026. Rivian later reported that, after insurance recoveries, its net settlement payment was $181 million. That company-level figure is not an individual investor payout, and the available status information does not establish when distributions will be completed or how much any claimant will receive.
What the Rivian lawsuit was about
Crews v. Rivian Automotive, Inc., et al. was a consolidated securities class action related to Rivian’s November 2021 initial public offering. It was an investor lawsuit, not a vehicle-owner claim for a refund on an R1S or R1T.

Plaintiffs alleged that Rivian’s IPO materials and later statements did not adequately disclose material facts and risks, including that the bill-of-materials cost of the R1S and R1T exceeded the sales prices at which the vehicles were offered, making price increases necessary. Rivian and the other defendants denied the allegations and denied liability. The settlement resolves the claims; it is not a finding that Rivian committed fraud or an admission of wrongdoing.
What happened to the settlement
The settlement administrator reports that the court approved the settlement and plan of allocation at a hearing on May 15, 2026. Rivian’s second-quarter 2026 Form 10-Q reports final approval and entry of judgment in May 2026; it does not specify the exact date judgment was entered.

The court had granted preliminary approval on December 18, 2025. Rivian’s filing says the company and its insurance carriers had fully funded the settlement into escrow by January 2026. The administrator’s reported $250 million is the settlement fund before deductions described in the notice. Rivian separately reported an aggregate net settlement payment of $181 million after insurance recoveries. That net figure describes Rivian’s cost, not the amount available to one investor or a claimant’s individual award.
Who was included in the certified classes
The administrator describes two court-certified classes. Eligibility depends on the applicable class definition and other conditions, including whether a person was damaged; simply having owned Rivian shares does not establish eligibility.

1934 Act claims
This class covers persons and entities that purchased or otherwise acquired Rivian Class A common stock from November 11, 2021, through March 10, 2022, inclusive, and were damaged. People who bought at the fixed IPO price are excluded from this class.

This class covers persons and entities that purchased or otherwise acquired Rivian Class A common stock from November 10, 2021, through March 10, 2022, inclusive.

The periods differ by one day at the start, and the 1934 Act class has the stated damage requirement and IPO-price exclusion. The official settlement notice and administrator’s case information are the appropriate sources for determining whether a particular investor falls within either class.

The claim-submission deadline was April 20, 2026, so it has passed. The administrator says payment to eligible claimants follows court approval and completion of claims processing. The information available here does not confirm that distributions are complete or establish final individual award amounts. Do not treat the $250 million fund or Rivian’s $181 million net payment as a per-share payout or as a promise of a particular payment date.
