HPE’s Juniper Deal Closed in 2025: What the Wi-Fi Settlement Means

HPE’s Juniper acquisition closed on July 2, 2025. Here’s why the DOJ challenged the deal, what the Wi-Fi remedies covered and what enterprise customers should assess.

Yes—the HPE-Juniper deal happened. HPE completed its acquisition of Juniper Networks on July 2, 2025, after settling a U.S. Department of Justice challenge focused on competition in enterprise wireless networking. The settlement required HPE to divest its Instant On campus and branch business and included a licensing process for Juniper Mist AIOps source code; it did not require HPE to sell Juniper or the Mist product line.

What happened to the HPE-Juniper deal?

HPE announced the proposed acquisition on January 9, 2024. The original agreement was an all-cash offer of $40 per share, which the companies described at the time as approximately $14 billion in equity value. HPE’s 2026 SEC filing later described the completed transaction as having approximately $13.4 billion in cash consideration. Those figures refer to different deal descriptions and should not be treated as interchangeable.

Date Event What it establishes
January 9, 2024 HPE and Juniper announced a definitive acquisition agreement. The announced offer was $40 per share, or approximately $14 billion in equity value. The companies forecast a late-2024 or early-2025 closing, subject to approvals and other conditions; that was an expectation, not the eventual closing date.
January 30, 2025 HPE and Juniper publicly opposed the DOJ’s decision to sue to block the acquisition. The companies disputed the government’s view of competition. Their position was an argument by the parties to the deal, not a DOJ finding.
June 28, 2025 The companies announced a settlement with the DOJ, subject to court approval. The announced remedies included divestiture of HPE Instant On’s campus and branch business and a process to license Mist AIOps technology.
July 2, 2025 HPE announced that the transaction had closed. The acquisition was completed. HPE’s later filing reported approximately $13.4 billion in cash consideration.

HPE’s 2024 announcement also projected $450 million in annual run-rate cost synergies within 36 months after closing. That was a forecast, not a reported result. The sources cited here do not establish whether HPE achieved that target.

Why did the DOJ challenge the acquisition over Wi-Fi?

The dispute was about enterprise-grade wireless local area networks (WLANs)—the access points, network-management tools and related support businesses used by organizations—not consumer home routers. In its case materials, the DOJ described HPE and Juniper as significant providers and argued that combining them could threaten competition in enterprise WLAN equipment and management.

The DOJ’s Competitive Impact Statement reported estimates from third-party sources used internally by HPE executives that Cisco, HPE and Juniper together accounted for over 70 percent of U.S. enterprise-grade wireless access-point revenue or North American WLAN revenue. That figure describes those particular estimates and denominators; it is not a current, independently verified share of all Wi-Fi products. The DOJ’s filing presented the government’s allegations and proposed judgment, not a judicial finding that every predicted competitive harm had occurred.

HPE and Juniper publicly disagreed with the government’s assessment. HPE CEO Antonio Neri said when the settlement was announced on June 28, 2025, “Our agreement with the DOJ paves the way to close HPE’s acquisition of Juniper Networks and preserves the intended benefits of this deal for our customers and shareholders, while creating greater competition in the global networking market.” That was management’s characterization of the settlement and anticipated benefits, not an independent measurement of customer outcomes.

What did the Wi-Fi settlement require?

The DOJ remedy had two distinct tracks. The July 10, 2025 Federal Register publication contains the DOJ’s Competitive Impact Statement and proposed Final Judgment; it sets out the proposed terms but does not, by itself, verify every later step in implementing them.

HPE had to divest its Instant On campus and branch business

The proposed judgment defined the HPE divestiture assets as HPE’s worldwide Instant On campus and branch business, including specified tangible and intangible assets. This was HPE’s Instant On business—not Juniper Mist.

A licensee could obtain Mist AIOps source code through a licensing process

The proposed judgment described the license as “a one-time, perpetual, worldwide, non-exclusive license for the AI Ops for Mist Source Code.” It provided for an auction and set conditions on use of the code in a licensee’s networking products. The primary licensee could elect transition services, and the terms also allowed for possible employee transfers.

This remedy was a license, not a sale of Juniper or a divestiture of the entire Mist portfolio. The settlement’s remedies therefore did not mean that HPE had to give up Juniper Mist products themselves.

What happened to Juniper Mist after the acquisition?

HPE Juniper Networking’s current portfolio messaging says customers can access both HPE Juniper Networking and HPE Aruba Networking products through one company. HPE also says it will continue to support and invest in Mist and states that there was no divestiture of Juniper or Mist products or technologies. These are HPE’s statements about its portfolio and plans; they are not independent evidence that a particular product, support experience or customer benefit has improved.

HPE’s SEC filing for the period ended July 31, 2026 reported acquisition costs of $69 million for the three months and $300 million for the nine months ended that date. These are costs recorded in those reporting periods, not proof on their own that integration succeeded or failed. The reviewed information does not independently establish whether the promised customer benefits or projected cost synergies have materialized.

What should enterprise customers compare before choosing WLAN equipment?

The acquisition alone does not establish that customers must replace existing equipment. For a new deployment, renewal or refresh, compare the needs of the site and the full cost of the solution rather than choosing solely on the basis of the corporate deal.

  • Coverage and capacity: Assess the required wireless coverage and access-point capacity for the actual environment. The available sources do not provide a current, like-for-like performance benchmark for Aruba and Juniper Mist products.
  • Management and AIOps: Compare the cloud-management and AIOps capabilities that matter to your IT team, and confirm which functions are included in the specific products and licenses under consideration.
  • Support and deployment: Check support arrangements, deployment requirements and any integration work against your existing network and operating processes.
  • Total cost: Compare hardware, licenses and service costs together. The available sources do not establish current comparable product prices.

Because current product performance, like-for-like pricing, remedy implementation details and customer migration requirements are not established by the cited sources, buyers should verify those specifics with HPE or an authorized reseller for the proposed products and deployment.
