The announced $1 billion deal value included up to $200 million in potential earnout payments; it was not all paid at closing.
Did e.l.f. buy Rhode?
Yes. e.l.f. Beauty announced a definitive agreement on May 28, 2025, and completed the acquisition on August 5, 2025. The completion filing says Rhode became a wholly owned subsidiary of e.l.f. Cosmetics. The SEC filing confirming the closing records the transaction.
How much did e.l.f. pay for Rhode?
The figures describe different parts of the transaction and should not be treated as interchangeable:

The later accounting figures have a different date and purpose from the deal announcement: they reflect purchase accounting rather than a revised claim that the full $1 billion was paid at closing.

What was Rhode worth before the acquisition?
e.l.f. said Rhode generated $212 million in net sales for the 12 months ended March 31, 2025. That is a company-reported sales figure for a stated period, not a purchase price or profit figure. The acquisition announcement also described e.l.f.’s strategic rationale: adding a fast-growing skin-care brand, strengthening its prestige-retail presence and building on Rhode’s direct-to-consumer business. Those were management’s reasons for the deal, not a guarantee of future results.
What happens to Hailey Bieber’s role at Rhode?
At the time of the acquisition announcement, Bieber was to continue as Rhode’s founder, Chief Creative Officer and Head of Innovation, and also serve as a strategic adviser to e.l.f. Beauty. The company announcement described the planned leadership arrangement; it should not be read as a guarantee that every role or responsibility will remain unchanged indefinitely.

Where can customers buy Rhode products?
Rhode sells skin care and hybrid makeup, including its Peptide Lip line and blush. Sephora began carrying Rhode online and in stores across the United States and Canada on September 4, 2025, according to the launch announcement. The announcement quoted Bieber saying her goal was to bring Rhode to customers online or in person. Check Rhode or Sephora directly for current product selection and stock.
e.l.f.’s acquisition materials describe Rhode’s products as skin-care essentials intended to hydrate and nourish the skin barrier. That is the company’s description of its range, not independent evidence of product efficacy.
