Kulicke & Soffa (K&S) announced an agreement to buy Alphasem on October 12, 2006, then completed the acquisition on November 6. The announced price was $30 million, subject to a working-capital adjustment; K&S later reported paying $27.1 million in cash at closing, also subject to further post-closing adjustments. The deal extended K&S’s semiconductor assembly equipment business from wire bonding into the adjacent field of die bonding.
What K&S announced—and what it paid at closing
K&S said it had signed an agreement to acquire Alphasem from Dover Technologies International, a subsidiary of Dover Corporation, on October 12, 2006. The acquisition closed on November 6, 2006. In its closing release, K&S reported a cash purchase price of $27.1 million after a working-capital adjustment, subject to further post-closing adjustments. Why the acquisition fit K&S’s business
In semiconductor chip assembly, die bonding comes before wire bonding. K&S said the processes typically use adjacent floor space and a common engineering team, making the equipment complementary for customers. The company’s stated rationale was to broaden the range of semiconductor assembly solutions it could offer and bring together Alphasem’s die-bonding engineering with K&S’s manufacturing expertise. K&S equipment segment vice president Christian Rheault called the deal “a natural extension” of its core equipment business into die bonding. Chairman and CEO Scott Kulicke said buying Alphasem was “the most attractive way” for K&S to enter that market. What Alphasem made and brought to the deal
Alphasem supplied die-bonder equipment and MEMS packaging equipment. K&S’s announcement highlighted Alphasem’s experience with air bearings and volumetric dispense systems.
