Avago had the smaller revenue base, yet it agreed in 2015 to buy Broadcom in a $37 billion cash-and-stock transaction. Analysts praised the deal because the companies’ communications-chip portfolios appeared more complementary than overlapping, with potential links across wireless, fiber, Ethernet, Wi-Fi and data-center products. The doubts were equally concrete: cost savings could mean layoffs or spin-outs, and integration could weaken Broadcom’s engineering culture.
Why was the smaller Avago buying the larger Broadcom?
The revenue comparison made the deal seem counterintuitive. EE Times cited Avago Technologies’ latest fiscal-year revenue at about $4.3 billion and Broadcom’s at $8.4 billion, implying nearly $13 billion in combined revenue. Those are figures cited in 2015, not a measure of either company’s current size. The announced transaction value was $37 billion in cash and stock, according to the Los Angeles Times.
Revenue size alone did not determine the strategic case. Avago brought strengths in analog components used in optical and wireless communications; Broadcom was more focused on digital systems-on-a-chip (SoCs), including products for smart-home and data-center markets. EE Times described the businesses as having little product overlap, alongside areas of synergy and substantial potential cost savings.
What made the product portfolios seem complementary?
Wireless and fiber alongside baseband
Analyst Will Strauss of Forward Concepts pointed to Avago’s strength in radio-frequency (RF) and fiber-optic technology and Broadcom’s baseband capabilities. He said those pieces could work together in cloud radio access network (C-RAN) offerings, where remote radio heads connect to fiber networks and the cloud. This was a contemporaneous analyst view of potential product fit, not evidence that a particular combined product or revenue stream was later realized.

Ethernet, SerDes and Wi-Fi
Analyst Handel Jones argued that Broadcom’s Ethernet technology could complement Avago’s serializer/deserializer (SerDes) capabilities, which move data across high-speed links. He also saw Broadcom Wi-Fi combo products as complementary to Avago’s RF activities. The logic was that capabilities at different points in communications systems could be assembled into a broader portfolio rather than duplicated outright.
Markets and customers
The combination also pointed toward exposure to mobile and wireless communications, fiber networks, smart-home devices and data centers. These adjacent markets helped explain why analysts could see strategic value despite Avago’s smaller reported revenue. Complementary products may create cross-selling or system-design opportunities, but the 2015 commentary establishes expectations—not proof of later commercial results.

Why did analysts praise the combination?
The positive case rested on three linked ideas: relatively little direct product overlap, technical fit between components serving communications networks, and opportunities to reduce costs in the combined business. Together, they suggested a company with a broader range of communications-semiconductor capabilities and room to streamline operations.
Supporters also described the merger as consistent with Broadcom’s original ambition. Co-founder Henry Nicholas called it “a logical progression.” Henry Samueli said the founders had envisioned “creating the world leader in communications semiconductors.” Those statements express the founders’ contemporaneous rationale; they do not settle whether the combination delivered the expected benefits.

What could go wrong?
Cost savings could disrupt the business
EE Times noted that savings might come from layoffs and spin-outs. Such actions can lower expenses, but they can also remove staff, capabilities or projects that matter to product development. The same cost-cutting that made the financial case attractive therefore raised questions about execution and the company’s ability to sustain innovation.
Integration could dilute engineering culture
Companion commentary by Junko Yoshida questioned whether the deal primarily served shareholders and whether Broadcom’s engineering discipline and leadership would survive integration. That concern matters because semiconductor companies depend on technical teams and long product-development cycles: combining organizations is not the same as combining their expertise effectively.

Synergy was a forecast, not a guaranteed outcome
Analysts identified plausible connections among RF, fiber, baseband, Ethernet, SerDes and Wi-Fi. But complementary portfolios do not automatically produce integrated products, lower costs or stronger customer demand. The contemporaneous commentary described opportunities and risks; the sources cited here do not establish audited post-merger synergy results.

They should not be treated as interchangeable measures: revenue is a company’s sales over a fiscal year, whereas the $37 billion figure is the reported value of a cash-and-stock acquisition. The cited coverage does not establish exact closing mechanics, so the announced transaction value should not be read as a detailed account of how consideration was ultimately delivered.
