Why Texas Instruments Agreed to Buy Alantro for $300 Million in Stock

Texas Instruments’ planned 2000 acquisition of Alantro aimed to extend DSL and cable-modem broadband wirelessly through homes and offices.

Texas Instruments announced on June 23, 2000, that it had agreed to acquire Alantro Communications for about $300 million in TI stock. The deal was intended to pair TI’s DSL and cable-modem chipsets with Alantro’s IEEE 802.11 wireless-LAN technology, so broadband connections could be distributed around homes and offices without wiring.

What did TI agree to buy, and for how much?

The announced consideration was approximately $300 million in Texas Instruments stock, according to EE Times’ June 23, 2000 report. The report describes an agreement, not the completed transaction: it does not establish the final closing date, exchange ratio, or accounting treatment.

Alantro was a three-year-old, privately held fabless semiconductor company headquartered in Santa Rosa, California, with additional sites in San Diego and Raleigh, North Carolina. It employed about 50 people at the time of the announcement.

What did Alantro make?

Alantro brought signal-processing expertise and know-how in wireless-networking applications and design. Its wireless-LAN technology conformed to IEEE 802.11, the family of standards behind Wi-Fi networking. The contemporary report does not identify a specific Alantro retail product or give technical specifications for a particular chip.

Why was TI interested in Alantro?

TI’s stated strategy was to extend broadband beyond the modem or DSL connection and distribute it wirelessly through a home or office. TI already made DSL and cable-modem chipsets; Alantro’s wireless-LAN technology offered a way to connect those broadband capabilities to devices around a building without running network wires.

George Barber, TI vice president and manager of its Broadband Access Group, described the acquisition as “one more step by TI to bring broadband into and throughout the home or office.” He said TI’s DSL and cable-modem chipsets would deliver bandwidth to the home, while Alantro’s technology would distribute it without wires. Alantro founder and CEO Chris Heegard said the company’s technology would leverage TI’s strength in digital signal processing.

How did the deal fit TI’s wireless strategy?

Alantro was not TI’s first wireless-networking acquisition. TI had announced its acquisition of Butterfly VLSI in January 1999 for short-distance radio-frequency integrated-circuit work in the 900-MHz and 2.4-GHz bands. The two moves addressed different technology needs: Alantro was associated with IEEE 802.11 wireless LANs for home and office broadband distribution, while Butterfly VLSI focused on short-range RF ICs.

The EE Times report does not describe Butterfly VLSI’s transaction consideration, workforce, locations, or organizational placement, so those details cannot be compared reliably with Alantro’s. TI said it planned to place Alantro within its Broadband Access Group, connecting the acquisition directly to the company’s broadband-chip business.

What was expected to happen next?

At announcement, TI expected the acquisition to be completed by the end of the third quarter of 2000. That was a forecast, not confirmation of when the transaction legally closed. The cited contemporaneous report also does not establish Alantro’s subsequent product or corporate history.
