Vodafone UK and Virgin Media O2 agreed on 3 July 2024 to extend and enhance their mobile network-sharing relationship for more than a decade. The arrangement was designed to accommodate the proposed Vodafone–Three merger, allow Virgin Media O2 to buy spectrum from the enlarged business and extend some network-investment benefits to Virgin Media O2 customers and its wholesale partners.
As of 18 August 2026, this is a long-term infrastructure and spectrum arrangement within the post-merger UK market—not a new tariff, a Vodafone–O2 merger or a promise that every customer will immediately receive identical coverage.
What Vodafone and Virgin Media O2 actually agreed
The companies agreed to extend their existing mobile network-sharing arrangement for more than a decade. The deal was announced by Vodafone UK Limited and VMED O2 UK Limited, with some provisions independent of the merger and others conditional on regulatory approval of Vodafone’s proposed combination with Three UK.
- VodafoneThree, the enlarged Vodafone–Three business, could participate in the sharing arrangement after the merger.
- Virgin Media O2 could acquire spectrum from the enlarged business.
- Planned VodafoneThree network investment could produce benefits for Virgin Media O2 customers and mobile virtual network operators (MVNOs) supplied through Virgin Media O2.
- The commercial structure was intended to last much longer than a short-term access or roaming deal.

What “network sharing” means—and what it does not mean
Network sharing can involve common sites, radio-access equipment, spectrum arrangements or other infrastructure. The precise technical mix matters. A shared site or radio network does not automatically create one retail network.
Customers generally keep their existing operator, billing account, tariff, SIM or eSIM and customer-service relationship. Vodafone, O2 and brands using their wholesale networks can still offer different prices, priorities, frequency bands and service features. Network sharing is therefore not synonymous with domestic roaming, in which one operator’s customers are routinely hosted on another operator’s retail network.
The agreement also does not mean that every customer receives the same speed, coverage or access to every band. Results depend on the sites and equipment used, spectrum permissions, device support, backhaul, software configuration, tariff rules and network load.
The earlier Project Beacon relationship
This was an extension of a long-running relationship known as Project Beacon. Virgin Media O2 has described the existing arrangement as Vodafone UK and O2 sharing radio equipment across parts of the UK. The companies had also agreed to share 5G active equipment on joint sites before the 2024 announcement.

Why the Vodafone–Three merger changed the significance of the deal
The merger reduced the UK’s four large mobile network operators to three scaled groups: EE, VodafoneThree and Virgin Media O2. The Competition and Markets Authority (CMA) examined whether combining Vodafone and Three could weaken competition, including through a stronger spectrum position and reduced choice for wholesale customers.
Vodafone and Three offered legally binding commitments, including a long-term network-investment programme and wholesale protections. The Virgin Media O2 agreement formed part of that competitive-balancing picture. In particular, transferring spectrum to Virgin Media O2 was intended to reduce the imbalance between the enlarged VodafoneThree and its remaining large rival. It was not simply an unrelated sale of a corporate asset.

The spectrum transfer: a separate but connected transaction
After the merger, Virgin Media O2 agreed to acquire 78.8 MHz of spectrum for £343 million. Virgin Media O2 said the purchase would take its total mobile-spectrum share to approximately 30% and improve capacity, speeds, coverage and competitive balance.

Owning more spectrum does not instantly create nationwide improvement. Operators must deploy compatible radios, connect sites with sufficient backhaul, configure software and support the relevant bands in customer devices. Benefits can therefore arrive gradually and vary by location.
VodafoneThree’s investment commitments
Vodafone’s merger materials described planned investment of more than £6 billion in the first five years and £11 billion over ten years. Those are multi-year commitments and plans, not amounts already spent. Vodafone’s materials targeted more than 95% 5G Standalone population coverage by 2030 and more than 99% by 2034.

A later UK government connectivity timeline records different milestones: 99% 5G Standalone population coverage by 2030 and 99.96% by 2034. No automatic, universal improvement follows from the agreement alone. Virgin Media O2 customers may benefit over time from additional spectrum and upgraded shared infrastructure, but the result at a particular address depends on:
- Whether nearby sites are upgraded and which frequencies are deployed;
- Handset or router support for the new bands and 5G mode;
- Indoor building conditions, local terrain and transport-corridor coverage;
- Backhaul capacity and congestion;
- The customer’s tariff, SIM or eSIM profile and any network-priority rules; and
- Whether an MVNO contract includes the same features as the host operator’s direct service.
A compatible device, software update, new SIM or eSIM profile may be needed before an upgrade is visible. Predictive coverage maps are not guarantees for an individual property.

VodafoneThree’s separate integration
In 2026, VodafoneThree said its core and radio-sharing integration could allow up to 28.6 million Vodafone and Three customers to connect to the best available coverage, remove 16,500 square kilometres of mobile “not spots” and make shared C-band access available to up to 50 million people. Those are VodafoneThree claims about its own merged network. They should not be treated as proof that every Virgin Media O2 customer receives the same outcome. Implications for MVNOs and competition
MVNOs buy wholesale access rather than operating a nationwide radio network themselves. A stronger host network and more capacity can help them, but the practical benefit depends on their wholesale contract, supported bands, traffic policies, geographic availability and retail proposition.
The arrangement illustrates the regulatory trade-off in modern telecoms. Operators can cooperate on expensive infrastructure and accelerate rollout while still competing for customers. At the same time, shared equipment, spectrum transfers and a three-group market make it harder to assess competition using operator counts alone. Wholesale protections and regulatory monitoring are intended to preserve access for smaller providers.
What the agreement does not mean
- Vodafone and O2 have not merged.
- Vodafone, O2 and Three customers do not all use one undifferentiated retail network.
- The 2024 announcement does not guarantee a particular speed or coverage level at every location.
- The £343 million spectrum transaction is not the same thing as the broader network-sharing agreement.
- VodafoneThree’s integration figures cannot be transferred automatically to Virgin Media O2 customers.
Related network changes
The government’s connectivity timeline says Virgin Media O2 plans to begin switching off its 2G network in summer 2029. Customers and connected-device users who rely on 2G will need to follow operator guidance as that date approaches. The timeline is published at gov.uk.

Vodafone and Virgin Media O2’s July 2024 agreement is a long-term infrastructure-sharing framework that became more important after the Vodafone–Three merger. Its most concrete competitive element is Virgin Media O2’s staged purchase of 78.8 MHz for £343 million. Customers may see better capacity or coverage as equipment, spectrum and backhaul are deployed, but the effect will be local and device-dependent—not an instant merger of Vodafone, O2 and Three networks.
