The UK Competition and Markets Authority (CMA) investigated Microsoft’s hiring of former Inflection AI employees, but the case is over: on September 4, 2024, it cleared the arrangements and declined to send them to a deeper Phase 2 inquiry. The CMA nevertheless found that Microsoft had acquired part of Inflection’s business capabilities, bringing the arrangements within UK merger control. Its clearance meant it saw no realistic prospect of a substantial lessening of competition—not that it found there had been no merger.
What Microsoft did
On March 19, 2024, Microsoft announced that it had hired several former Inflection employees, including co-founder and former CEO Mustafa Suleyman and co-founder and chief scientist Karén Simonyan. The CMA understood the hires to amount to almost all of Inflection’s team. Microsoft also entered into related arrangements with Inflection, including a non-exclusive licence to use relevant Inflection intellectual property.
The CMA assessed the package as a whole: the team’s move, its collective technical know-how, access to IP and arrangements that allowed related AI-development work to continue at Microsoft. It did not describe the transaction as Microsoft buying Inflection outright. The full CMA decision sets out its treatment of the agreements and assets.
Why hiring a team could count as a merger
UK merger control can apply to the acquisition of business activities, not only to the purchase of a company or its shares. In the CMA’s analysis, an “enterprise” can include a group of employees and their know-how if together they enable a business activity to continue. That mattered in AI, where specialist teams must keep developing models and chatbot technology as products evolve.

The CMA concluded that Microsoft had substantively acquired Inflection’s pre-transaction capabilities in foundation-model and chatbot development. In its view, the relevant parts of the two businesses had ceased to be distinct. This was a fact-specific assessment of the people, know-how, IP and surrounding arrangements; it was not a general rule that hiring a large group of employees is automatically a merger. The April invitation to comment was not the formal investigation. The distinction matters: the CMA first gathered information on AI partnerships and other arrangements, then launched a Phase 1 inquiry into this transaction in July. The CMA announcement describes the earlier step, while its case page records the timetable and closed status.

What markets and competition concerns the CMA examined
Before the arrangements, Inflection developed foundation models, supplied its consumer chatbot Pi in the UK from May 2023, and had early-stage plans for an AI studio aimed at enterprise customers. The CMA assessed competition in the development and supply of consumer chatbots and foundation models. It used a global frame for competitive assessment, while UK data informed its jurisdictional analysis.
Consumer chatbots
The CMA considered whether Microsoft’s acquisition of Inflection’s chatbot-development capability removed an existing or potential competitive constraint. It found that Pi had a very small share of UK chatbot-domain visits and had not materially increased or sustained its user numbers. Pi emphasized emotional intelligence; the CMA said its general intelligence and accuracy were broadly comparable to competitors at the time. It nevertheless concluded Pi was not a material constraint on Microsoft’s Copilot, Microsoft’s partnership with OpenAI in relation to ChatGPT, or other chatbot providers.

The authority also considered whether Inflection’s planned features might have differentiated the product. It concluded competitors could replicate many of those features if consumers valued them, and that Inflection would have faced significant difficulty attracting customers and realizing its ambitions.
Foundation models and enterprise AI
Inflection’s enterprise AI-studio plans were at an early stage. The proposed service would have supplied a foundation model through APIs or licences, potentially fine-tuned for business uses. The CMA said prospective customers did not identify features that made Inflection’s planned offer more attractive than established competitors’ products. It therefore found the business unlikely to have imposed a material competitive constraint on Microsoft or other foundation-model suppliers.

Why the CMA had jurisdiction but cleared the arrangements
The CMA’s review involved distinct legal questions: whether the arrangements qualified as a relevant merger situation within its jurisdiction, and whether they created a realistic prospect of a substantial lessening of competition (SLC). It answered the first question yes and the second no.
For jurisdiction, the CMA found the share-of-supply test was met. Using SimilarWeb data on UK chatbot-domain visits in February 2024, it estimated a combined share above 25%, with an increment of 0% to 5%. Those figures were the CMA’s jurisdictional calculation for that measure and period; they were not a finding that Microsoft held that share across AI markets.

On the competitive-effects question, the CMA concluded that Inflection was not a material constraint in the chatbot or foundation-model areas it assessed, and that its prospects of expanding into those markets were limited. As a result, the CMA found no realistic prospect of an SLC and did not refer the case for Phase 2. The decision was a clearance, not a finding that the CMA lacked power to review the transaction.
What the decision means for future AI team moves
The case shows why regulators may look beyond employment contracts when a company hires a rival’s core team. A move involving most of a specialist group, continuity of its business activity, transferred know-how and access to related IP can raise a merger-control question. It does not establish that every acqui-hire is a merger, or that one which falls within merger rules will be blocked.
Here, jurisdiction and competitive harm led to different answers: the CMA treated the arrangements as a merger situation, then cleared them because its Phase 1 assessment did not identify a realistic prospect of substantial competitive harm. The case is closed, with no Phase 2 prohibition, divestiture or behavioral remedy.
