What Is Business Ethics and Why Is It Important?

Business ethics guides company decisions and conduct beyond legal compliance, helping organizations consider their responsibilities to workers, customers, suppliers, communities and the environment.

Business ethics is the use of moral principles to guide a company’s decisions and conduct. It matters because businesses affect workers, customers, suppliers, communities, investors and the environment—and legal compliance alone may not answer every question about what is fair or responsible.

What business ethics means

Business ethics is the set of principles and standards a business uses to decide how it should act. It applies to everyday decisions and relationships, not just to charitable giving or a company’s public image. It asks leaders and employees to consider who may be affected by a decision, what consequences may follow, and whether the decision is honest, fair and responsible.

The Ten Principles of the UN Global Compact group responsible-business commitments into four areas:

  • Human rights: respect and support human rights, and avoid contributing to abuses.
  • Labour: uphold fundamental labour principles, including freedom of association and the elimination of forced labour, child labour and employment discrimination.
  • Environment: take a precautionary approach to environmental challenges and support greater environmental responsibility.
  • Anti-corruption: work against corruption, including extortion and bribery.

The principles are intended to be integrated into company strategy, policies and procedures, and supported by an integrity culture. They do not replace local law or legal advice.

Why business ethics is important

Business choices can shape people’s working conditions, the quality and safety of products, supplier practices, the effects of operations on communities and the environment, and the reliability of information shared with investors. Ethical principles give decision-makers a way to consider those impacts and their responsibilities to affected parties.

Ethical standards also support credibility and trustworthiness. The G20/OECD Principles of Corporate Governance 2023 place ethical conduct within a broader governance framework of accountability, checks and balances, and monitoring performance. Trust and responsible conduct are important governance considerations; these principles do not establish that ethical conduct guarantees higher profits or a particular financial return.

How business ethics differs from legal compliance

Following the law is a fundamental requirement. An ethical framework also helps a company judge what to do when the law leaves room for discretion or does not resolve a practical dilemma. The OECD’s 2023 Principles put it plainly: “An overall framework for ethical conduct goes beyond compliance with the law, which should always be a fundamental requirement.”

For example, a company may need to decide how to handle a potential conflict of interest, whether a disclosure gives a truthful and fair picture, or how to respond to concerns about a supplier’s treatment of workers. These examples illustrate the kinds of judgment ethics can inform; the applicable legal duties differ by jurisdiction, industry and circumstance.

How companies can put business ethics into practice

Set expectations from the top

Boards and senior leaders influence whether ethical standards are treated as real operating expectations. They can model the conduct they expect, set the tone for the organization and oversee executives. Governance guidance from the OECD describes governance structures as supporting accountability and performance monitoring.

Make expectations clear

A code of conduct can translate broad principles into guidance employees can use. It should help people recognize expected behavior and exercise judgment when interests conflict, rather than serve only as a document to sign or file.

Address impacts across operations and business relationships

Responsible-business policies can cover human rights, labour, environmental impacts and anti-corruption in a company’s own operations and relevant business relationships. Procedures should make these policies usable in daily decisions and help build an integrity culture.

Tailor controls to actual risks

Ethics and compliance programs should reflect the organization’s circumstances and risks. The OECD Guidelines for Multinational Enterprises on Responsible Business Conduct describe risk-based internal controls and compliance programs as tools to prevent, detect and address bribery and corruption. A generic policy may not address risks arising from a company’s particular locations, industry, transactions or business relationships.

Three useful ways to assess an ethics program

  • Compliance or broader judgment: Does the company meet legal requirements and consider fairness, stakeholder impacts and responsible conduct where rules leave discretion?
  • Written rules or lived practice: Are expectations reinforced by leadership, procedures and controls, or do they exist only in a code?
  • Generic or risk-based: Do the program and controls reflect the company’s geography, industry, relationships and transaction risks?

The OECD Principles are corporate-governance guidance, not a universal statute. The laws that apply to a business depend on its jurisdiction, industry and circumstances.
