Start by checking which legal entity signed the agreement and whether that same entity will remain responsible after the transaction. The answer can then turn on the deal structure, the contract’s terms, and the law that governs it.
Does a business sale automatically transfer or cancel contracts?
No single rule applies to every business sale or agreement. A sale of a company’s shares can change its owners while leaving the company that signed the contract in place. An asset sale, merger, or transfer of a business unit may instead involve a different entity taking over performance. The contract and governing law determine what that difference means.
Do not assume that every buyer inherits every contract, that a sale cancels all agreements, or that a company’s new owner personally becomes a party. The Federal Acquisition Regulation (FAR) gives one specific example: for a federal contract, a stock purchase does not require a novation when the contracting party has not legally changed, remains in control of the assets, and continues to perform. That federal rule does not decide what a private agreement says about a change of control.
How the transaction structure can affect an agreement

These are examples tied to their stated jurisdictions and contract categories, not universal rules for private agreements.

What do assignment, delegation, and novation mean?
Assignment
An assignment generally transfers a party’s contractual rights, such as a right to receive payment. Whether the agreement permits it, and whether it also covers a transfer of performance, depends on the contract language and applicable law.
Delegation
Delegation generally means arranging for another party to perform a contractual duty. It does not necessarily make that party the replacement contracting party or release the original party. For covered transactions under North Carolina General Statutes § 25-2-210(a), for example, “No delegation of performance relieves the party delegating of any duty to perform or any liability for breach.” That is a state-specific rule, not a general statement of law everywhere.

Novation
A novation is an agreement that substitutes a new party for an old one, typically with the relevant parties’ agreement. In the federal-contract context, the FAR’s model novation addresses the successor’s assumption of contract obligations and the transferor’s relinquishment of rights against the government. Do not treat that federal process as a required or sufficient procedure for a private contract without checking its terms and governing law.
What should you check before a sale, merger, or restructuring?
- Identify the contracting parties. Use the exact legal names and entity types shown in the signed agreement and amendments. Find out whether the original entity will survive the transaction or whether another entity is expected to take over.
- Classify what is changing. Establish whether the deal is a share purchase, asset purchase, merger, name change, internal restructuring, or transfer of only a division or contract. The label alone is not enough; determine which entity owns the relevant assets and will perform afterward.
- Read the contract’s transfer and change provisions. Look for terms covering assignment, delegation, change of control, consent, notice, successor obligations, termination, and subcontracting. A clause using the word “assignment” may not resolve whether duties can be delegated or a new party substituted.
- Check governing law and contract category. Review the agreement’s governing-law clause and determine whether a public-procurement regime, statute, or regulation applies. Rules for a particular state’s sale-of-goods transactions or a public contract should not be assumed to govern a different agreement.
- Confirm required approvals and records before the transfer takes effect. If consent or notice is required, identify who must provide it, by when, and in what form. For a federal-contract novation, FAR procedures call for supporting materials such as the proposed transaction document, a list of affected contracts, and evidence of the successor’s capability.
- Put the allocation of responsibility in writing. Transaction and transfer documents should identify the party assuming performance, the effective date, the obligations being assumed, and any continuing responsibility of the original party. The contract’s counterparty may need to agree to a substitution.
- Coordinate the practical handover. Where applicable, confirm invoice routing, payment instructions, service contacts, insurance, licenses, and security clearances. Give the counterparty any notice required by the agreement or applicable rules and retain written confirmation.
When should you get legal advice?
Have counsel qualified in the governing jurisdiction review the agreement and transaction documents when the deal involves a new performing entity, the contract restricts assignment or change of control, a counterparty’s consent is uncertain, or a party needs clarity about ongoing liability. For a live transaction, the consequences depend on the actual contract language, transaction structure, and applicable law; the federal, North Carolina, and UK examples above cannot resolve those facts on their own.
