Warner Bros. Discovery announced in June 2025 that it planned to split its studios and streaming operations from its global television networks. That separation was never completed: WBD later agreed to a merger with Paramount, and the Associated Press reported that the takeover closed on October 7, 2026. The proposed split is therefore a past plan, not a change that created two independent companies.
What Warner Bros. Discovery planned to separate
WBD’s June 9, 2025 announcement proposed two publicly traded companies. The first, then called Streaming & Studios and later referred to as Warner Bros., would bring together content production, HBO and HBO Max. The second, provisionally called Global Networks or Discovery Global, would contain television networks and related digital businesses.

Why WBD said it wanted a split
The company’s stated case was that separate businesses would have sharper strategic focus and more flexibility to pursue opportunities and their own operational and financial goals. CEO David Zaslav described the aim as empowering the brands with “the sharper focus and strategic flexibility they need to compete most effectively in today’s evolving media landscape.” That was the company’s rationale for the proposal, not evidence that the separation produced those results.

What the proposed terms and timeline were
WBD said it expected the separation to be completed by mid-2026 and designed to be tax-free for U.S. federal income tax purposes. Those were expectations for a proposed transaction, not completed outcomes. The company listed final board approval, tax opinions and/or an IRS private letter ruling, and market conditions among the conditions.
Under the announced plan, Global Networks could hold up to a 20% retained stake in Streaming & Studios, with an intention to monetize it in a tax-efficient way. WBD also cited a $17.5 billion committed bridge facility from J.P. Morgan connected with tender offers and debt actions, which it expected to refinance before the separation. What happened instead
WBD’s 2026 proxy says its board began evaluating broad strategic alternatives in October 2025, including transactions involving the whole company or separate businesses. On February 27, 2026, WBD entered into a merger agreement with Paramount Skydance Corporation. The Associated Press reported on October 7, 2026, that Skydance-owned Paramount had closed its takeover of WBD. What the takeover means for HBO Max and cable networks
After the takeover, Paramount and HBO Max were under the same corporate umbrella. The AP reported that the company planned to unify its streaming products over time, but said the future service name, consumer costs and choices were unknown at the time of its report. That does not establish that a particular service has since launched, that subscriptions have changed price, or that existing viewing options have changed. For viewers and investors, the key distinction is between the intended 2025 allocation of assets and the actual later transaction. HBO Max and the networks were listed in different proposed companies, but that division was part of an uncompleted plan; it is not a description of two companies created by the split.
