Who Bought Brownes Dairy? The 2017 Sale and Its Later Ownership Changes

Brownes Dairy was sold by Archer Capital in 2017 to Shanghai Ground Food Tech through consortium-backed Australia Zhiran Co. A later parent-level loan default and a 2026 sale process have not, in the cited reporting, confirmed a new owner.

Archer Capital sold Brownes Dairy in November 2017 to Shanghai Ground Food Tech, through consortium-backed Australia Zhiran Co. The later story is more complicated: a parent-level loan default was reported in 2025, and China Mengniu launched a formal sale process in August 2026. The latest cited report confirms the process was underway, not that Brownes had been sold again or had a new owner.

Who bought Brownes Dairy in 2017?

The November 2017 announcement named Shanghai Ground Food Tech as the buyer. A subsequent transaction report identified Australia Zhiran Co as the purchasing vehicle, backed by a consortium that included Shanghai Ground Food Tech and Changchun Lianxin Investment Consulting Company. These are related but distinct descriptions: Shanghai Ground Food Tech was the named buyer in the announcement; Australia Zhiran Co was the vehicle used by the consortium to acquire the business.

Archer Capital had acquired Brownes in 2011. The 2017 sale was subject to Foreign Investment Review Board approval when announced. FoodNavigator reported that the financial terms were not disclosed; its expectation that completion would occur in the following weeks was a forecast, not confirmation of the closing date. ABC News reported the announcement on 14 November 2017, and FoodNavigator detailed the consortium and vehicle on 22 November 2017.

What happened to ownership after the sale?

2025: a parent-level loan default was reported

In April 2025, ABC reported that Australian Zhiran had defaulted on a A$200 million loan and that McGrathNicol had been appointed to manage a sale at the parent level. The loan issue concerned the parent company, not a reported borrowing by Brownes Dairy itself. Brownes chief executive Natalie Sarich-Dayton said at the time that it had “absolutely nothing to do with our day-to-day operations in WA” and described business as usual. That statement described the situation then; it is not a guarantee about later conditions.

ABC also corrected an earlier version of its report that had incorrectly identified Mengniu as the owner: it said Australian Zhiran was the parent company. ABC’s report, updated 2 May 2025, covers the loan default and sale management. WA Premier Roger Cook said during the 2025 sale situation, “Can I just say Brownes Dairy remains a profitable company,” a public statement rather than an audited financial finding in the cited coverage.

August 2026: China Mengniu launched a formal sale process

Food Processing reported on 24 August 2026 that China Mengniu had consolidated its holding position and initiated a formal sale process managed by McGrathNicol. The report described Brownes as being brought to market and quoted Sarich-Dayton calling the process “a natural and positive step toward securing a long-term custodian capable of supporting our next phase of commercial and geographic expansion.” Neither the process announcement nor that statement confirms a completed sale or names a successful bidder. What is known about Brownes as a business?

Brownes traces its history to 1886. Its company history describes a long Western Australian dairy presence, including bottled pasteurised milk, flavoured milk, yoghurt, production in Balcatta and school tours. Brownes’ official history provides the company’s account.

Food Processing reported in August 2026 that Brownes operates from Balcatta and Brunswick, collects about 150 million litres of milk annually from more than 50 farms in Western Australia’s South West, and sells products including milk, cream, yoghurt, flavoured milk, juice and desserts. The same report described A$288 million as forecast calendar-year revenue, compared with A$270 million in the preceding 12 months; the A$288 million figure is a forecast, not audited historical revenue. These are figures reported by Food Processing, not independently audited figures established here.

Has Brownes been sold again?

The latest cited report establishes that China Mengniu initiated a formal sale process in August 2026. It does not document a closing or identify a new owner. Accordingly, it is accurate to say Brownes was put on the market, but not to say it was sold again on the basis of that report. The 2025 default reporting also does not establish that Brownes itself entered receivership: it concerns parent-level ownership and financing, while the CEO said operations continued as usual at the time.
