Air T reported closing on December 17, 2025; Rex says it has operated under Air T ownership and governance since December 18. The deal followed Rex’s voluntary administration and transferred the airline group to a US aviation company for A$1 in equity consideration, with Air T also assuming approximately A$108 million in liabilities.
Did Air T buy Rex Airlines?
Yes. The proposed acquisition is complete, not pending. Air T’s filing with the US Securities and Exchange Commission reports that the transaction closed on December 17, 2025. Rex’s company page says it has operated under Air T ownership and governance since December 18, 2025. The two sources differ by one day; they appear to use different closing and operational reporting conventions, so both dates are best presented with their respective attributions. How much did Air T pay?
Air T reported paying A$1 for the equity and assuming approximately A$108 million in liabilities at closing. The A$1 is the reported equity consideration, not the total economic burden of the transaction. In its later annual filing, Air T separately reported A$107.8 million in face-value Commonwealth debt. How did Rex reach the sale?
- Rex entered voluntary administration on July 30, 2024. ASIC’s company information.
- Air T and Rex’s administrators announced a sale and implementation deed on October 21, 2025. Australian Government statement.
- A majority of creditors supported the bid on November 11, 2025. Australian Government creditor-vote statement.
- The Federal Court approved the acquisition-related arrangement on December 11, 2025. Air T’s SEC filing.

Is Rex still flying after the sale?
Rex’s current company information describes the airline group as operating under Air T ownership and governance and says it serves 51 destinations. That destination count is not a route count and does not establish which particular routes are operating today, how often they fly, or whether a route has no competing service. Why is Rex important to regional Australia?
During the sale process, the Australian Government described Rex as an important regional airline. In a 2025 statement, it estimated that Rex served 41 routes, including 23 that were serviced only by Rex at the time. Those figures describe the sale-period network, not a current route inventory. They also cannot be compared directly with Rex’s current count of 51 destinations: a route connects places, while a destination is a place served, and the sources are from different dates. For regional communities, the airline’s significance is its role in connecting places where air service may be limited. The historical exclusivity figures help explain why the sale attracted public attention, but they do not establish current connectivity. Travelers assessing a particular trip should check live schedules, frequency, fares, and alternatives rather than infer current service from the 2025 route count.

What does the acquisition mean for Air T?
Air T’s filings characterize the purchase as its entry into the Australian regional airline market. The acquired group included Rex operating entities and aviation businesses; later reporting describes aircraft, spare engines, and rotatable parts among the acquired business assets. No. ASIC’s disclosure case is a separate corporate-regulatory matter and does not reverse the reported acquisition completion. ASIC says Rex had been listed on the Australian Securities Exchange since November 2005, its shares were suspended from trading when it entered administration in July 2024, and it was delisted in September 2025. In a 2026 release, ASIC said it filed a notice of intention to appeal on August 20, 2026, after the NSW Supreme Court dismissed part of its case concerning continuous disclosure.
