Nate Founder Charged With Fraud Over Alleged AI Shopping Claims

Nate founder Albert Saniger was charged in April 2025 over alleged investor claims about the app’s AI and automation. The indictment is not a conviction.

Albert Saniger, former CEO of shopping-app startup Nate, was charged in April 2025 with securities fraud and wire fraud over alleged statements to investors about the company’s AI and ability to automate purchases. Prosecutors allege Nate relied on human contractors in the Philippines to place orders despite representing that its app could complete purchases without human intervention in most cases. The charges are allegations, not a conviction.

What was Albert Saniger charged with?

On April 9, 2025, the U.S. Attorney’s Office for the Southern District of New York announced an indictment charging Saniger with one count of securities fraud and one count of wire fraud. The government alleges that he made false or misleading statements to investors and prospective investors about Nate’s proprietary AI technology and operational capabilities. The charges do not establish that he committed a crime. The U.S. Attorney’s Office said the defendant “is presumed innocent unless and until proven guilty.”

Each count carries a statutory maximum of 20 years in prison, according to the Justice Department. That is a maximum, not a sentence or prediction: any sentence, if there is a conviction, would be determined by a judge.

What did Nate’s app promise, and what do prosecutors allege happened?

Nate, founded in 2018, promoted an app designed to make online shopping across retailers feel like a one-click checkout. The company’s representations described purchases as being completed without human intervention except in edge cases. According to TechCrunch’s account of the indictment, prosecutors allege that contractors in a Philippine call center manually placed orders for users.

TechCrunch reported that prosecutors characterized the app’s actual automation rate as effectively zero. That figure is an allegation reported in coverage of the indictment, not an independently measured rate established by the sources cited here. The allegations also do not establish that every customer or transaction was handled in precisely the same way.

How much money did Nate raise, and what happened to the company?

TechCrunch reported, based on the indictment, that Nate raised more than $50 million, including a $38 million Series A in 2021. The same report said the company sold its assets in January 2023 after running out of money, leaving investors with near-total losses, according to the indictment. These figures and descriptions are attributed to that reporting; they are not a finding that Saniger is liable for investor losses.

What is the case’s status?

The official announcement establishes that Saniger was indicted on April 9, 2025. The sources cited here do not establish subsequent court proceedings or a final disposition. Anyone relying on the case’s present status should check an authoritative court docket rather than assume the indictment remains the latest development.

Why the distinction between an allegation and a finding matters

The government’s case concerns alleged investor-facing claims about Nate’s technology and operations. It is not a ruling that Saniger committed fraud, nor does this case by itself establish how often AI startups use human labor behind automated products. Acting U.S. Attorney Matthew Podolsky said at the time of the announcement: “As alleged, Albert Saniger misled investors by exploiting the promise and allure of AI technology to build a false narrative about innovation that never existed.” That is the prosecutor’s characterization of the allegations, not a court’s finding.
