What Tim Cook’s Nike Form 4 reported
The SEC filing identifies NIKE, Inc. as the issuer and Timothy D. Cook as the reporting person. Its transaction table records an acquisition of 50,000 Nike Class B common shares on December 22, 2025. The filing was submitted on December 23, 2025. Read the Form 4 or view the SEC filing index.

Why the reported price is not a single exact fill
The Form 4 footnote says, “The price reported in Column 4 is a weighted average.” It explains that the $58.97 figure reflects multiple transactions at prices ranging from $58.96 to $58.97. It is therefore accurate to describe the reported amount as a weighted-average price, not to say every share was bought at precisely $58.97. The footnote is included in the filing.
The filing also describes Nike’s general policy window for director and officer market transactions, with an exception for approved Rule 10b5-1 trading plans. That policy language alone does not establish whether this particular purchase was made under such a plan.

Why Cook’s purchase drew investor attention
Cook’s role at Nike gives the transaction its insider context. Nike’s 2025 proxy materials identify him as a director. A contemporaneous 9to5Mac report dated December 24, 2025 described Cook as Apple’s CEO and Nike’s lead independent director.
Investors may pay attention when a company director buys shares on the open market because the purchase is a personal investment in the company they help oversee. But a filing reports the transaction, not the person’s private reasoning. Cook did not state a motive in the Form 4, so explanations such as confidence in Nike’s prospects remain speculation rather than established fact.

What the reported market reaction does—and does not—show
The December 24 report said the purchase came after disappointing quarterly results, noted that Nike shares had declined before the filing became public, and reported an approximately 5% move at the market open following the news. Those details describe the contemporaneous coverage; they do not prove the purchase caused the share-price move. The Form 4 itself records the transaction and does not analyze market reaction.

The December 2025 Form 4 reported that Cook beneficially owned 105,480 shares following the acquisition. This is the filing’s post-transaction figure, not a statement of his current holdings. The SEC index lists a later Cook filing with a report date of September 8, 2026 and filing date of September 10, 2026, but the index entry alone does not establish that filing’s transaction details. Consult the later SEC filing before describing his latest activity or current share count.

What investors can reasonably take from the filing
- The transaction is a dated disclosure: 50,000 shares acquired on December 22, 2025, and reported to the SEC on December 23.
- The $58.97 amount is a weighted average across executions in the stated $58.96–$58.97 range.
- The filing establishes a director’s purchase and reported post-transaction ownership; it does not establish Cook’s motive or predict Nike’s future performance.
- Any description of the subsequent share move should be attributed to contemporaneous reporting rather than presented as a causal finding.
