Mark Zuckerberg is Meta Platforms’ largest disclosed individual beneficial owner. In its 2026 proxy statement, Meta reported that as of April 1, 2026, he beneficially owned 639,347 Class A shares and 341,823,978 Class B shares, representing 60.8% of the company’s total voting power. These are dated proxy figures, not a real-time count.

Who owns the most Meta stock?

Meta’s 2026 proxy statement identifies Zuckerberg as its largest disclosed individual beneficial owner. The filing’s ownership table is measured as of April 1, 2026, and reports 639,347 Class A shares and 341,823,978 Class B shares for him. Meta’s proxy statement, filed April 16, 2026, is the source for these figures: Meta Platforms 2026 proxy statement.

“Beneficial ownership” is a disclosure category: it attributes securities to a person based on specified voting or investment power. It does not necessarily mean that every share is registered directly in that person’s name. Meta’s footnote describes trusts and Chan Zuckerberg entities among the holdings attributed to Zuckerberg; for some positions he has sole voting and investment power, while for Chan Zuckerberg Biohub’s Class A shares he has voting and investment power but no pecuniary interest.

How much of Meta does Zuckerberg control?

The proxy reports that Zuckerberg’s Class B holding represents 99.8% of outstanding Class B shares and attributes 60.8% of Meta’s total voting power to him. The difference reflects Meta’s dual-class share structure, not an inconsistency between the two percentages.

Class A and Class B voting rights

Each Class A share carries one vote; each Class B share carries ten votes. As Meta puts it in its proxy statement, “The holders of our Class B common stock are entitled to ten votes per share, and holders of our Class A common stock are entitled to one vote per share.” Because Zuckerberg’s reported stake is overwhelmingly Class B, his voting influence is much greater than a simple comparison of share counts would suggest.

Voting power and economic ownership are different measures. The proxy provides the share counts and voting-power percentage, but those numbers should not be collapsed into one generic claim about what percentage of Meta’s economic value Zuckerberg owns.

How do Meta’s other major disclosed holders compare?

Meta’s proxy lists two institutional-affiliated positions in its “Other 5% Shareholders” table. Their figures are Class A shares, so they are not directly comparable to Zuckerberg’s voting-heavy Class B position without accounting for the ten-to-one voting difference.

These are disclosures for affiliated entities, not evidence that an asset manager’s clients personally own shares in the manager’s name or that the manager has the same economic interest as those clients.

Why the proxy is not a live shareholder list

Meta based its April 1, 2026 ownership calculations on 2,196,045,588 Class A shares and 342,377,716 Class B shares outstanding. For a named holder’s percentage, the filing also treats certain options, restricted stock units, or convertible securities exercisable or releasable within 60 days as outstanding for that holder. The figures therefore reflect a specific date and calculation method, not a continuously updated cap table.

Nor does a proxy table identify every underlying investor. Meta’s 2025 Form 10-K says many Class A shares are held by brokers and institutions for stockholders and that the company cannot estimate the total number of stockholders represented by those holders: Meta Platforms 2025 Form 10-K. A record holder, a beneficial owner, a fund manager’s reported position, and the individual investors whose money is in funds can describe different layers of ownership.

What does Meta’s Vanguard disclosure mean?

Meta’s proxy says Vanguard reported in a March 27, 2026 Schedule 13G/A that it did not beneficially own Meta Class A shares as of March 13, 2026, after an internal realignment effective January 12, 2026. Certain subsidiaries or business divisions previously included in Vanguard’s aggregate beneficial ownership were to report separately; Meta said those separate reports had not been filed with it as of the proxy filing.

That disclosure does not establish that Vanguard-related funds or other underlying investors held no Meta shares. It describes the parent’s reported beneficial ownership under a changed reporting arrangement, at a different date and on a different basis from Meta’s April 1 proxy table.

How to read “who owns the most” figures

  • For the largest disclosed individual: the proxy identifies Mark Zuckerberg.
  • For voting control: the proxy attributes 60.8% of total voting power to him as of April 1, 2026.
  • For institutional-affiliated Class A positions: Meta lists BlackRock-affiliated entities at 157,849,942 shares and FMR-affiliated entities at 134,555,687 shares on the same proxy date.
  • For underlying investors: these filings do not provide a complete count or a single consolidated list of everyone who ultimately has an economic interest in Meta shares.

Always check the share class, the filing date, and whether a figure refers to beneficial ownership, voting power, a fund or affiliate position, or record ownership. Those distinctions determine what a “largest owner” comparison actually says.
